Arcserve (EUA), LLC ("Arcserve") Contrato de Licença do Usuário Final ("Contrato") referente ao software da Arcserve que está sendo instalado, bem como à documentação associada e qualquer SDK, conforme definido a seguir, incluídos no produto ("Produto"). Antes de instalar e usar o produto, leia atentamente os termos e as condições referentes ao uso. Neste Contrato, o Usuário Final será chamado de “Você” ou “Licenciado”. AO DIGITAR "Y" ABAIXO, VOCÊ ESTÁ (I) Indicando que não é menor e tem capacidade legal total e autoridade para aceitar e fazer com que seu empregador, quando aplicável, aceite os termos deste Contrato; e (II) Concordando, em seu próprio nome e/ou como representante autorizado do seu empregador, quando aplicável, em se sujeitar a este Contrato. AO DIGITAR "N" ABAIXO, O PROCESSO DE INSTALAÇÃO SERÁ ENCERRADO. 1. A Arcserve (ou, se o Produto estiver sendo fornecido fora da América do Norte, a subsidiária da Arcserve identificada após a Cláusula 15 a seguir referente ao país no qual o Produto está sendo fornecido e, nesse caso, Arcserve corresponderá à subsidiária identificada) fornece ao Licenciado uma cópia do Produto para uso por um único usuário ou a quantidade designada como a limitação de uso autorizado ("Limitação de Uso Autorizado") em qualquer Formulário de Pedido (definido a seguir) fazendo referência aos termos deste Contrato ou ao encarte do CD incluído na caixa do Produto. A Arcserve licencia o Produto ao Licenciado sem exclusividade, conforme os termos deste Contrato e (a) de qualquer Formulário de Pedido ou Formulário de Registro da Arcserve que tenha sido assinado pelo Licenciado e pela Arcserve ou (b) do Certificado do Programa de Licenças fornecido pela Arcserve ao Licenciado, conforme aplicável (doravante "Formulário de Pedido"). 2. Se o Produto for uma versão alfa ou beta do programa, doravante denominado “programa beta” ou “versão beta” e não estiver disponível até esta data, a Arcserve não garante que a release disponível será idêntica ao programa beta ou que não exigirá reinstalação. O Licenciado concorda que deverá fornecer informações específicas à Arcserve sobre suas experiências com a operação do Produto se, de alguma maneira, isso for exigido pela Arcserve ou se o Licenciado se inscrever para obter suporte. O Licenciado concorda e reconhece que a versão beta do Produto (a) deve ser usada somente para fins de teste e não para atividades de produção, a menos que a Arcserve tenha aprovado isso por escrito e (b) não foi testada nem depurada, constituindo uma versão experimental, e que a documentação pode estar em formato de rascunho e, em muitos casos, incompleta. O Licenciado concorda que a Arcserve não faz declarações relativas à integridade, à precisão ou ao uso ou à operação da versão beta do Produto pelo Licenciado. OS PRODUTOS BETA SÃO FORNECIDOS “NA PRESENTE FORMA”, SEM GARANTIAS OU REPRESENTAÇÕES DE NENHUM TIPO, EXPRESSAS OU IMPLÍCITAS, INCLUINDO, SEM SE LIMITAR A, GARANTIAS OU REPRESENTAÇÕES DE PROPRIEDADE OU NÃO VIOLAÇÃO. Se o Licenciado também for um Testador da versão beta do Produto (conforme o termo "Testador" definido pelo Contrato de Teste Beta com o qual o Licenciado concorda durante o processo de registro antes de obter a versão beta do Produto), ele concorda que os termos deste Contrato são adicionais, e não substitutos, aos termos do Contrato de Teste Beta. 3. Se o Produto estiver sendo licenciado para teste ou avaliação, o Licenciado concorda em utilizá-lo exclusivamente para fins de avaliação, de acordo com as restrições de uso estabelecidas na Cláusula 1, durante um período de avaliação de 30 (trinta) dias, a menos que seja especificado um período diferente (“Período de Teste”). Ao final do Período de Teste, o direito do Licenciado de usar o Produto expira automaticamente, e o Licenciado concorda em desinstalar o Produto e devolver à Arcserve todas as cópias, integrais ou parciais, ou em certificar a Arcserve, por escrito, de que todas essas cópias foram excluídas das bibliotecas e/ou dos dispositivos de armazenamento do computador do Licenciado e destruídas. Para continuar usando o Produto após o Período de Teste, o Licenciado deve entrar em contato com a Arcserve a fim de adquirir uma licença do Produto pela taxa aplicável. O USO DO PRODUTO PELO LICENCIADO DURANTE O PERÍODO DE TESTE É FEITO “NA PRESENTE FORMA”, SEM NENHUMA GARANTIA, E A Arcserve ISENTA-SE DE TODAS AS GARANTIAS, INCLUINDO, SEM SE LIMITAR A, GARANTIAS IMPLÍCITAS DE COMERCIABILIDADE E ADEQUAÇÃO A UM DETERMINADO FIM, BEM COMO TODAS AS GARANTIAS EXPRESSAS CITADAS EM OUTROS PONTOS DESTE CONTRATO. 4. Se o Produto incluir um Kit de Desenvolvimento do Software (“SDK”), os termos e as condições deste parágrafo se aplicarão exclusivamente ao uso do SDK. O SDK pode incluir software, APIs e a documentação associada. O SDK é fornecido exclusivamente para uso interno do Licenciado visando o desenvolvimento de software que possibilite a integração de software ou hardware de terceiros ao Produto ou para o desenvolvimento de software que funcione com o Produto, como um agente, por exemplo. O uso do SDK por parte do Licenciado é limitado apenas a aprimorar o uso interno do Produto pelo Licenciado. Nenhum direito de distribuição de qualquer espécie é concedido ao Licenciado em relação ao Produto. Além das limitações de uso estabelecidas na Cláusula 8, o Licenciado não pode reproduzir, divulgar, comercializar nem distribuir o SDK ou a documentação ou qualquer aplicativo que contenha versões executáveis do SDK a terceiros e na internet ou usar tais executáveis excedendo a Limitação de Uso Autorizado aplicável. No caso de discordância entre os termos desta Cláusula e os de qualquer outra Cláusula deste Contrato, os termos desta Cláusula prevalecerão apenas no que diz respeito ao uso do SDK. NA EXTENSÃO MÁXIMA PERMITIDA PELA LEGISLAÇÃO APLICÁVEL, E INDEPENDENTEMENTE DE QUALQUER OBJEÇÃO AQUI CONTIDA, O SDK É FORNECIDO E LICENCIADO “NA PRESENTE FORMA”, SEM GARANTIA DE QUALQUER ESPÉCIE. 5. O pagamento das taxas especificadas no Formulário de Pedido ou como acordado entre o Licenciado e um revendedor autorizado da Arcserve deve conferir ao Licenciado a possibilidade de usar o Produto de acordo com o termo especificado no Formulário de Pedido (o "Termo"), sendo que tal uso pode, portanto, incluir o direito de receber serviços de manutenção durante o período estabelecido no Formulário de Pedido. Todas as taxas referidas neste documento devem ser pagas antecipadamente. O Licenciado instalará cada nova release do Produto entregue. Após o final do período de Vigência, o uso contínuo e/ou a manutenção do Produto conforme o disposto neste documento estarão sujeitos ao pagamento pelo Licenciado das taxas estabelecidas no Formulário de Pedido. Não obstante o que foi estabelecido acima, se o Produto tiver sido licenciado sob este Contrato sem um Formulário de Pedido, o Licenciado receberá o direito de uso do Produto por um período indeterminado, mas a licença não incluirá o direito a serviços de manutenção. Não obstante o que foi estabelecido acima, para qualquer Produto que precise de atualizações de conteúdo contínuas, como atualizações de segurança e arquivos de assinatura, o Licenciado receberá o direito de uso de tais atualizações pelo período de 1 (um) ano a partir da data em que a licença começar a vigorar. 6. Se a Arcserve fornecer o serviço de manutenção, ele deverá ser renovado anualmente, conforme especificado no Formulário de Pedido da Arcserve. Nenhum valor inclui impostos aplicáveis. O Licenciado concorda em pagar quaisquer tarifas, obrigações ou impostos lançados ou cobrados por qualquer entidade ou órgão governamental, incluindo, sem limitação, impostos federais, estaduais e locais, sobre vendas, uso, valor agregado e bens móveis (salvo impostos de franquia e de renda, pelos quais a Arcserve é responsável), mediante apresentação das faturas pela Arcserve. Qualquer isenção alegada das mencionadas tarifas, obrigações ou impostos deverá ser amparada pela devida prova documental apresentada à Arcserve. Qualquer fatura não paga pelo Licenciado na data de vencimento estará sujeita à cobrança de juros com valor inferior a 1,5% ao mês ou à mais alta taxa legal cabível. 7. O Licenciado pode usar o Produto conforme especificado aqui apenas para processamento de seus próprios dados e de suas subsidiárias nas quais tenha participação como acionista majoritário, e o uso está restrito ao local, ao computador e à Limitação de Uso Autorizado especificados no Formulário de Pedido ou no encarte do CD, conforme aplicável. Se o Licenciado quiser fazer mudanças nos limites de uso do Produto acima especificados, a Arcserve deverá ser notificada, e o Licenciado será cobrado e deverá efetuar o pagamento das taxas aplicáveis por este uso ampliado. 8. O Produto, incluindo qualquer código-fonte ou código de objeto que possa ser fornecido ao Licenciado por este documento, bem como a documentação, aparência, estrutura e organização, é propriedade com direito exclusivo da Arcserve e/ou de seus licenciadores, se aplicável, e pode estar protegido por leis de direitos autorais, patentes, marca registrada, segredo comercial e/ou outras leis. O direito à propriedade do Produto ou de qualquer cópia, modificação, tradução, cópia parcial, compilação, trabalho derivado ou parte absorvida de qualquer SDK aplicável sempre pertencerá à Arcserve e/ou a seus licenciadores. Os direitos de uso concernentes ao Produto não poderão ser trocados por qualquer outro produto da Arcserve. O Produto é licenciado como um produto único. Seus componentes não podem ser utilizados separadamente. O Licenciado e seus funcionários deverão manter a estrita confidencialidade do Produto e dos termos desta licença, esforçando-se para impedir a divulgação ou o uso não autorizado do Produto e protegendo-o contra tal. O Licenciado não pode (i) divulgar, descompilar, desmontar nem fazer engenharia reversa do Produto, exceto caso a presente restrição seja explicitamente proibida nos termos da legislação cabível; (ii) criar trabalhos derivados com base no Produto; (iii) usar o Produto para proporcionar gerenciamento de recursos ou em conjunto com uma empresa de serviços ou atividade similar por meio da qual o Licenciado, sem comprar uma licença da Arcserve para tal propósito, opera ou usa o Produto em benefício de um terceiro que não tenha adquirido uma cópia do Produto; ou (iv) permitir o uso do Produto por terceiros sem consentimento prévio e por escrito da Arcserve. O Licenciado não deve divulgar os resultados de testes de desempenho do Produto para terceiros sem o consentimento prévio e por escrito da Arcserve. O Licenciado não transferirá, consignará, arrendará, alugará, usará, copiará ou modificará o produto, parcialmente ou na íntegra, nem permitirá que terceiros pratiquem essas ações em relação ao Produto sem o consentimento prévio e por escrito da Arcserve, exceto caso a presente restrição seja expressamente proibida nos termos da legislação cabível. O Licenciado não deverá remover nenhuma marca de direito exclusivo da Arcserve ou de seus licenciadores. O Licenciado poderá copiar o Produto conforme necessário para fins de cópia de segurança e recuperação em caso de incidentes, contanto que o uso do Produto não exceda a Limitação de Uso Autorizado especificada no Formulário de Pedido ou no encarte do CD e que o uso do Produto para testes de recuperação em caso de incidentes esteja limitado a apenas uma semana em qualquer período de três meses. O Produto pode ser usado apenas dentro das fronteiras do país onde foi comprado (exceto se especificado de outro modo no Formulário de Pedido), salvo se a Arcserve consentir o contrário por escrito. Se esta licença for encerrada por qualquer motivo, o Licenciado deverá assegurar à Arcserve por escrito que todas as cópias do Produto, integrais e parciais, foram excluídas de todos os computadores e dispositivos de armazenamento e que foram devolvidas à Arcserve ou destruídas e não estão mais sendo usadas. O Licenciado deverá cumprir todas as regulamentações pertinentes de importação e exportação, inclusive aquelas adotadas pelo Office of Export Administration (Órgão de Administração das Exportações) do Ministério do Comércio dos EUA, e deverá indenizar, defender e isentar a Arcserve de responsabilidade com respeito a quaisquer danos, taxas, penalidades, multas, custos ou reivindicações relacionados à violação, pelo Licenciado, da representação ou garantia mencionada acima. O Produto e a documentação associada foram desenvolvidos integralmente com capital privado. Eles são fornecidos e licenciados como "item comercial" e "software para computador", conforme definido no FAR 2.101. Caso o Licenciado seja um órgão do Governo Federal dos Estados Unidos, os termos do contrato de licença GSA FSS ora vigente da Arcserve devem regular o uso do(s) Programa(s) de Computador prevalecendo sobre os termos contidos na licença que acompanha o(s) Programa(s). Para tal finalidade, os termos “Produto” e “Programa de computador” devem ter o mesmo significado aqui mencionado. O(s) Programa(s) de Computador foram desenvolvidos com recursos privados, destinam-se ao uso comercial e foram publicados sob o título de direitos autorais. Compras feitas por terceiros em nome de um órgão do Governo Federal devem transferir o(s) Programa(s) de Computador somente com "Direitos Restritos", conforme termo definido no FAR 52.227-19(c)(2) ou DFAR 252.227-7015 e de acordo com o contrato GSA FSS ora vigente da Arcserve. Todo Software é fornecido por entrega FOB (Free on Board) ou por vias eletrônicas. Dispensa-se a aceitação, sendo considerada como ocorrida no primeiro momento da remessa física ou, em caso de entrega por meios eletrônicos, da liberação/envio das chaves ou dos códigos de acesso. A Arcserve é a fabricante deste Produto.Este Contrato será regido e interpretado em conformidade com a legislação do Estado de Nova York, independentemente do conteúdo das disposições previstas na legislação local. 9. A Arcserve garante que pode celebrar este Contrato e que indenizará, isentará de responsabilidade e defenderá o Licenciado ou, a seu exclusivo critério, liquidará qualquer pedido de indenização de que a Arcserve não esteja autorizada ou que o uso do Produto pelo Licenciado conforme autorizado nesta licença infrinja quaisquer patentes, direitos autorais ou direitos de propriedade intelectual de terceiros. A Arcserve também garante que o Produto funcionará de acordo com as especificações publicadas, contanto que a única responsabilidade da Arcserve seja a de empreender esforços cabíveis, uniformes com os padrões do setor, para corrigir qualquer defeito. A presente garantia relativa ao funcionamento do Produto será válida somente durante o período para o qual o Licenciado tenha pago a taxa de licença e a taxa anual de manutenção aplicáveis ou, no caso de Produtos licenciados sem um Formulário de Pedido, durante um período de 90 (noventa) dias a partir da aquisição da licença do Produto pelo Licenciado. Na hipótese de, dentro de um período após o recebimento pelo Licenciado de aviso por escrito de violação de qualquer uma das garantias mencionadas acima, a Arcserve for incapaz de fazer o Produto funcionar (a) sem infringir os direitos de propriedade intelectual de terceiros ou (b) em conformidade com as especificações por escrito da Arcserve, qualquer das partes poderá rescindir este Contrato mediante notificação por escrito à outra parte, e a Arcserve ou o revendedor autorizado reembolsará as taxas de licença pagas pelo Produto não compatível somente quando o Licenciado devolver o Produto à Arcserve ou ao revendedor autorizado do qual adquiriu o Produto, com o recibo de compra no período de garantia acima especificado. As garantias definidas nesta Seção não se aplicam às versões beta do Produto, ao Produto licenciado para fins de avaliação nem a Kits de Desenvolvimento do Software. 10. SALVO CONFORME DISPOSTO ACIMA, NA EXTENSÃO MÁXIMA PERMITIDA PELA LEGISLAÇÃO APLICÁVEL: (I) NENHUMA OUTRA GARANTIA, SEJA EXPRESSA OU IMPLÍCITA, INCLUINDO, SEM SE LIMITAR A GARANTIAS IMPLÍCITAS DE COMERCIABILIDADE E ADEQUAÇÃO A UM FIM ESPECÍFICO, É CONCEDIDA PELA ARCSERVE. (II) SOB HIPÓTESE ALGUMA A ARCSERVE SERÁ RESPONSÁVEL PERANTE O LICENCIADO OU A TERCEIROS POR QUALQUER PEDIDO DE INDENIZAÇÃO POR PERDAS, INCLUINDO TEMPO, DINHEIRO, CREDIBILIDADE E DANOS CONSEQUENCIAIS QUE POSSAM DECORRER DO USO, DO FUNCIONAMENTO OU DA MODIFICAÇÃO DO PRODUTO, MESMO QUE A ARCSERVE TENHA SIDO NOTIFICADA SOBRE A POSSIBILIDADE DE TAIS DANOS. NA HIPÓTESE DE A LIMITAÇÃO DE RESPONSABILIDADE ACIMA SER CONSIDERADA INVÁLIDA NOS TERMOS DA LEGISLAÇÃO APLICÁVEL, A RESPONSABILIDADE DA ARCSERVE PELO PEDIDO DE INDENIZAÇÃO MENCIONADO ESTARÁ RESTRITA AO VALOR DA LICENÇA DO PRODUTO PAGO PELO LICENCIADO. NENHUM TERCEIRO, INCLUINDO AGENTES, DISTRIBUIDORES OU REVENDEDORES AUTORIZADOS DA ARCSERVE, ESTÁ AUTORIZADO A MODIFICAR QUALQUER UMA DAS GARANTIAS ACIMA OU OFERECER GARANTIAS ADICIONAIS EM NOME DA ARCSERVE. A ARCSERVE NÃO GARANTE QUE O PRODUTO ATENDERÁ ÀS NECESSIDADES DO LICENCIADO OU QUE SEU USO SERÁ ININTERRUPTO NEM APRESENTARÁ ERROS. 11. O Licenciado só poderá transferir este Contrato se estiver em conformidade com as políticas de transferência de licenças da Arcserve, que incluem uma exigência de que o escopo de uso do Produto não ultrapasse a atividade do Licenciado e de suas subsidiárias nas quais tenha participação como acionista majoritário. A Arcserve poderá transferir este Contrato a quaisquer terceiros que assumam os interesses da Arcserve no Produto, bem como suas obrigações constantes neste documento; a Arcserve também poderá transferir seu direito ao pagamento ou conceder direitos de garantia neste Contrato ou o mencionado direito ao pagamento a quaisquer terceiros. Se o Licenciado violar qualquer termo deste Contrato, se tornar inadimplente ou se procedimentos de falência e recuperação de empresas ou liquidação judicial forem instaurados pelo Licenciado ou contra ele, a Arcserve terá o direito de interromper seu próprio cumprimento deste Contrato e/ou de encerrá-lo imediatamente e, além dos outros direitos da Arcserve, todos os valores devidos ou com vencimento futuro constantes neste documento vencerão e deverão ser pagos imediatamente à Arcserve. 13. Se o Licenciado não efetuar o pagamento da taxa de manutenção cabível, ele poderá restabelecer a manutenção posteriormente pagando à Arcserve uma taxa equivalente a 150% da taxa de manutenção da Arcserve então vigente para cada ano em que ela não foi paga. 14. Se um tribunal considerar alguma cláusula deste Contrato ilegal, inválida ou inexequível, as demais cláusulas deverão permanecer em pleno vigor e efeito. Nenhuma abdicação de qualquer violação deste Contrato deverá ser uma abdicação de qualquer outra violação, e nenhuma abdicação deverá ser válida, a não ser que seja comunicada por escrito e assinada por um representante autorizado da parte abdicadora. 15. Caso o Licenciado adquira uma licença do Produto fora dos Estados Unidos, as seguintes Cláusulas aplicar-se-ão ao uso do Produto: Independentemente dos termos da última frase da Cláusula 8, a legislação do país em que o Licenciado adquire uma licença do Produto regerá este Contrato, exceto se especificado de outro modo, conforme a seguir. Nestes países: Albânia, Armênia, Belarus, Bósnia/Herzegovina, Bulgária, Croácia, Geórgia, Hungria, Cazaquistão, Quirguistão, Macedônia (ARIM), Moldávia, Romênia, Rússia, Eslováquia, Eslovênia e Ucrânia, este Contrato é regido pela legislação da Áustria. ArgentinaA última frase da Cláusula 8 deve ser excluída e substituída por:Este Contrato será regido e interpretado em conformidade com a legislação da Argentina. Qualquer divergência resultante deste documento deverá ser resolvida nos Tribunales de la Ciudad de Buenos Aires. Austrália O seguinte deve ser acrescentado ao final das Cláusulas 2, 3 e 10:Embora a Arcserve especifique que não há garantias, o Licenciado pode ter certos direitos de acordo com a Lei de Práticas Comerciais de 1974 e com a legislação de outro estado e território que não podem ser excluídos, mas podem ser limitados. Na extensão máxima permitida pela legislação cabível, a Arcserve exclui todos os termos não explicitamente descritos nos termos expressos deste Contrato e limita quaisquer termos impostos pela Lei de Práticas Comerciais de 1974 e pela legislação de outro estado e território à extensão máxima permitida pela legislação cabível. A última frase da Cláusula 8 deve ser excluída e substituída por:A legislação do Estado ou Território onde a transação é realizada rege este Contrato. O seguinte deve ser acrescentado à Cláusula 10:Se a Arcserve violar alguma condição ou garantia imposta pela Lei de Práticas Comerciais de 1974 ou pela legislação de outro estado e território, a responsabilidade da Arcserve será restrita, no caso de mercadorias, ao reparo ou à substituição das mercadorias ou ao pagamento do reparo ou substituição das mercadorias e, no caso de serviços, à prestação dos serviços novamente ou ao pagamento da prestação dos serviços novamente, a critério da Arcserve. Caso essa condição ou garantia seja relacionada ao direito de vender, preservar a posse ou cancelar o direito à propriedade, em relação às mercadorias, ou se as mercadorias fornecidas pela Arcserve forem de um tipo normalmente adquirido para uso ou consumo pessoal, doméstico ou local, então nenhuma limitação desta Cláusula será aplicada. Áustria A última frase da Cláusula 8 deve ser excluída e substituída por:A legislação da Áustria rege este Contrato. O seguinte deve ser acrescentado à Cláusula 8: Além disso, a Arcserve tem o direito de acionar o Licenciado no foro competente do local de incorporação, estabelecimento ou residência fixa do Licenciado. O seguinte deve ser acrescentado à Cláusula 10:Fica excluída qualquer responsabilidade por negligência da Arcserve. O seguinte deve ser acrescentado ao Contrato:Caso o Licenciado se qualifique como consumidor segundo a Lei de Proteção ao Consumidor da Áustria ("Konsumentenschutzgesetz" -"KSchG"), as Seções 2, 3, 9 e 10 deste Contrato não se aplicam se reduzirem a responsabilidade da Arcserve e a garantia do consumidor. Bélgica A última frase da Cláusula 8 deve ser excluída e substituída por:O foro da sede da Arcserve deverá ter jurisdição exclusiva em relação a qualquer divergência que possa surgir entre as partes envolvidas na elaboração, execução, interpretação ou rescisão deste Contrato, incluindo, sem limitações, medidas de conservação, situação crítica, processos de garantia, petição ou no caso de mais de um réu. Brasil A última frase da Cláusula 8 deve ser excluída e substituída por:Este Contrato será regido e interpretado em conformidade com a legislação do Brasil. Qualquer divergência resultante deste documento deverá ser resolvida em juízo de foro competente da cidade de São Paulo/SP. Canadá A última frase da Cláusula 8 deve ser excluída e substituída por:A legislação do Distrito de Ontário rege este Contrato. Chile A última frase da Cláusula 8 deve ser excluída e substituída por:Este Contrato será regido e interpretado em conformidade com a legislação do Chile. Qualquer divergência resultante deste documento deverá ser resolvida nos Tribunales Ordinarios de la Ciudad de Santiago. A décima sexta frase da Cláusula 8 deve ser excluída e substituída por: O Licenciado deverá cumprir todas as regulamentações relevantes de importação e exportação, inclusive aquelas adotadas pelo Office of Export Administration (Órgão da Administração das Exportações) do Ministério do Comércio dos EUA, por qualquer Governo competente da União Europeia e as regulamentações de exportação da Alemanha. O Licenciado concorda e reconhece que as restrições dos Estados Unidos, da União Europeia e da Alemanha variam regularmente e, dependendo do Produto, o Licenciado deve consultar as regulamentações atuais desses países e regiões. O seguinte deve ser acrescentado à Cláusula 9:A Arcserve não será responsabilizada por nenhuma violação de uso de uma release alterada do Produto, a não ser que a alteração tenha sido aprovada anteriormente e por escrito pela Arcserve. A Cláusula 10 deve ser excluída e substituída por:(i) No caso de má conduta deliberada, nenhuma limitação de responsabilidade será aplicada; (ii) no caso de dano pessoal ou dano à propriedade, a responsabilidade da Arcserve para com o Licenciado será restrita ao valor máximo que a Arcserve recuperará com as apólices de seguro; (iii) no caso de negligência flagrante que resulte em dano que não seja pessoal ou à propriedade, a responsabilidade da Arcserve para com o Licenciado será restrita a um valor igual à taxa de licença do Produto; (iv) no caso de negligência que resulte em dano que não seja pessoal ou à propriedade, a responsabilidade da Arcserve para com o Licenciado será restrita a um valor igual a 50% (cinquenta por cento) da taxa de licença do Produto. O Produto é segredo comercial e propriedade com direito exclusivo da Arcserve e de seus licenciadores. O Licenciado e seus funcionários deverão manter a confidencialidade do Produto e dos termos deste Contrato. Na extensão máxima permitida pela legislação aplicável, o Licenciado não divulgará, descompilará, desmontará nem fará engenharia reversa do Produto. O Licenciado reconhece que, na eventualidade de violação de qualquer uma das obrigações impostas nesta Cláusula, a Arcserve pode sofrer um prejuízo significativo, independentemente da devolução de todas as cópias do Produto, em consequência do fato de que violou as obrigações supracitadas. Por conseguinte, o Licenciado assume a responsabilidade de indenizar a Arcserve integralmente em relação a tal prejuízo. O Licenciado reconhece que a Arcserve tem o direito de impedir qualquer ameaça à confidencialidade ou controlar uma infração em andamento ou violação de confidencialidade por parte do Licenciado por meio de procedimentos legais e que, se for instaurado um mandado contra o Licenciado por violação, o Licenciado deverá reembolsar os custos e as despesas legais à Arcserve, incluindo honorários advocatícios.
