Arcserve (USA), LLC または/およびその関連会社または子会社(以下、「Arcserve」と表記します) 以下に定義する、インストールする Arcserve ソフトウェア製品、関連ドキュメント、および SDK(以下、併せて「本製品」と表記します)用のエンド ユーザ ライセンス使用条件(以下、「本使用条件」と表記します)。 本製品をインストールして使用する前に、本製品の使用に関する以下の契約条件をよくお読みください。 本使用条件では、お客様は「ライセンス契約者」と表記されます。 以下の「ライセンス使用条件に同意する」ラジオ ボタンをクリックしたのち、[次へ]ボタンをクリックした場合、ライセンス契約者は (I) 成人であり、完全な法的能力を持ち、ライセンス契約者本人およびその雇用主(該当する場合)を本契約に拘束する権限があることを表明し、 (II) ライセンス契約者本人、または/およびライセンス契約者の雇用主の権限ある代表者(該当する場合)として、本契約条件に拘束されることに同意したものとします。 以下の[ライセンス使用条件に同意しない]ラジオ ボタンをクリックしたのち[キャンセル]ボタンをクリックした場合、インストール処理は中止されます。 1. Arcserve(または、北米以外で本製品が提供される地域において、本製品が提供される国に対する以下の第 15 項で定義される Arcserve 子会社、または Arcserve が Arcserve 子会社を意味する場合)は、ライセンス契約者に単一ユーザの使用を前提とする本製品 1 部、または以下に定義する本使用条件に関連する注文書、または本製品パッケージに含まれる CD ケースに記載された、認定使用制限(以下、「認定使用制限」と表記します)に応じた部数を提供します。Arcserve はライセンス契約者に対して本製品のライセンスを非独占的に供与します。このライセンスの供与は、該当する場合、本使用条件の契約条件に加えて、(a)ライセンス契約者および Arcserve によって署名または押印されたすべての Arcserve 注文書またはお客様登録用紙に記載されている契約条件または(b)Arcserve がライセンス契約者に供与するライセンス プログラム証書に記載されている契約条件に従って行われます(以下、(a)および(b)を「注文書」と表記します)。 2. 本製品が、現時点では正式にリリースされていないプログラムのアルファ バージョンまたはベータ バージョンである場合(以下、「ベータ バージョン」と表記します)、Arcserve は正式にリリースされる製品とベータ バージョンが完全に同一であることを保証せず、また正式にリリースされる製品の再インストールが不要であることも保証しません。 ライセンス契約者は、サポートに登録した場合、またはその他に Arcserve が必要であると認めた場合、本製品の使用経験に関する特定の情報を Arcserve に対して提供することに同意するものとします。 ライセンス契約者は、本製品のベータ バージョンが(a)テスト目的にのみ使用され、Arcserve が書面にて承諾した場合を除き本番稼働されないこと、(b)テストおよびデバッグが完了していない試験的なプログラムであり、付属する文書が最終版でない場合も多くあることに同意し、この事実を承諾するものとします。 ライセンス契約者は、本製品のベータ バージョンの完全性、正確性、およびライセンス契約者による使用または操作に関して、Arcserve が一切の表明を行わないことに同意するものとします。 本製品のベータ バージョンは「現状有姿」の状態で供与されます。本製品のベータ バージョンに対しては、あらゆる権原または不侵害に対するすべての保証や表明を含むがそれらに限定しない、明示または黙示のいかなる保証または表明も行われません。 ライセンス契約者が本製品のベータ バージョンのテスター(「テスター」については、本製品のベータ バージョンの登録時に同意したベータ テスト用追加契約書に定められています)である場合、ライセンス契約者は、本使用条件がベータ テスト契約に追加されるもので、ベータ テスト契約が本使用条件よりも優先して適用されることに同意するものとします。 本製品が UDP software for workstations の 無償版である場合、限定機能モードでの実行となり、UDP v5 が現在サポートしている一部の言語に対して限定的にサポートおよびメンテナンスが行われます。 これを有償版の製品にアップグレードして無償版では使用できない機能を使えるようにすることも可能です。 UDP workstation の無償版でサポートされるオプションおよび言語は予告なく変更されることがあります。 3. 本製品のライセンスが試用版または評価版として供与された場合、ライセンス契約者は、第1項で定めた制限に従って、30日間または別途定められた日数の試用期間(以下、「試用期間」と表記します)の間、本製品を評価目的でのみ使用することに同意するものとします。 ライセンス契約者の本製品を使用する権利は、試用期間の終了と共に自動的に失効します。また、ライセンス契約者は試用期間の終了と同時に本製品をアンインストールし、本製品の部分的コピーを含むすべてのコピーを Arcserve に返却するか、ライセンス契約者のコンピュータ ライブラリまたは記憶装置(あるいはその両方)から本製品の部分的コピーを含むすべてのコピーが削除および廃棄された旨を Arcserve に対して書面にて保証することに同意するものとします。 ライセンス契約者が試用期間の終了後も本製品の使用継続を希望する場合は、Arcserve に連絡し所定の料金を支払って、本製品のライセンスを取得するものとします。 試用期間中にライセンス契約者が本製品を使用する場合、本製品は「現状有姿」の状態で提供されるものとし、いかなる保証もされません。また Arcserve は、試用期間中の本製品に関して、商品性ならびに特定用途に対する適合性に関する黙示の保証、および本契約で明示に定められているすべての保証を含むがそれらに限定しない、すべての保証から免責されます。 4. 本製品にソフトウェア開発キット(以下、「SDK」と表記します)が含まれる場合、本段落の条項のみが SDK の使用に適用されます。 SDKには、ソフトウェア、API、および関連ドキュメントが含まれる場合があります。 ライセンス契約者は、提供されたSDKを、ライセンス契約者の内部的な目的にのみ使用できます。ここで言う内部的な目的とは、本製品をサード パーティ製のソフトウェアまたはハードウェアと統合するためのソフトウェアを開発するか、または本製品と連携して機能するソフトウェア(エージェントなど)を開発することを指します。 SDKは、ライセンス契約者による本製品の内部的な使用を拡張する目的でのみ、ライセンス契約者に提供されます。 ライセンス契約者に対して、本製品を配布する権利はいっさい付与されません。 下記の第8項に定める制限に加えて、ライセンス契約者は、SDK、関連ドキュメント、およびSDKの実行可能なバージョンを含むいかなるアプリケーションも、第三者に対して、またはインターネット上で、コピー、開示、取引、または配布してはならず、また認定使用制限に抵触する形で使用してはなりません。 本項に定める条件が、本使用条件に定められている他の条件と矛盾する場合は、SDKの使用に限り、本項の条件が優先して適用されます。 本使用条件に定められている他の規定にかかわらず、準拠法によって許容される範囲内で、SDKは「現状有姿」の状態で提供されライセンスされるものとし、いかなる保証もなされません。 5. 注文書に記載された料金、またはライセンス契約者と Arcserve 認定再販業者の間で合意された料金を支払うことによって、注文書に記載された期間(以下、「本期間」と表記します)にわたり本製品を使用する権利がライセンス契約者に供与されます。本製品を使用する権利には、注文書にあらかじめ定められた期間内にメンテナンスを受ける権利が含まれる場合があります。 本使用条件で定められている料金は、すべて事前に支払われるものとします。 ライセンス契約者は、ライセンス契約者に供与される本製品の新バージョンをすべてインストールするものとします。 本期間の終了後、本使用条件に定める本製品の使用または保守(あるいはその両方)を継続する場合、ライセンス契約者は注文書に記載された料金を支払うものとします。 上記にかかわらず、本使用条件に従った本製品のライセンスが注文書なしで供与された場合、本製品を無期限に使用する権利がライセンス契約者に付与されますが、当該ライセンスにはメンテナンスを受ける権利が含まれません。 上記にかかわらず、本製品が継続的な更新(ウィルス定義ファイルやセキュリティ更新ファイルなど)を必要とする場合、ライセンス契約者は本使用条件に同意してから1年間に限り、その継続的な更新サービスを受けることができます。 6. メンテナンスが Arcserve によって提供される場合、メンテナンス契約は注文書に記載されているとおり年次で更新されるものとします。 すべての料金は税抜きで明記されます。 ライセンス契約者は、連邦税、州税、地方税、消費税、使用税、付加価値税、および動産税を含むがそれらに限定しない、政府または政府の関連機関より課せられるすべての関税および税金を、Arcserve より提示される請求書に従って支払うことに同意するものとします(ただし営業税や所得税など、支払い義務が Arcserve に課せられるものを除きます)。 これら諸税の免除を要求する場合は、Arcserve に対して適切な証拠書類を提出するものとします。 請求書に記載されている料金がライセンス契約者によって期限までに支払われなかった場合は、当該料金に対する利息(月1.5%または法的に許容される最高利率のいずれか低い方)が発生するものとします。 7. ライセンス契約者が本使用条件に定める本製品を使用できるのは、ライセンス契約者本人のデータまたはライセンス契約者が過半数の株式(持分)を所有する子会社のデータを処理する場合に限定され、使用に際しては、該当する場合、注文書またはCDケースに記載されている設置場所、コンピュータ機種、および認定使用制限の制限を受けるものとします。 ライセンス契約者がこの制限を超えて本製品を使用することを希望する場合、ライセンス契約者は Arcserve に対してその旨を通知すると共に、使用の拡張に対して Arcserve より請求される追加料金を支払うものとします。 8. 本製品(本使用条件に従ってライセンス契約者に提供される場合があるソース コードおよびオブジェクト コードを含みます)、関連ドキュメント、外観、構造、および構成は、Arcserve またはライセンス提供者、あるいはその両者の専有する財産であり、著作権、特許権、商標権、営業秘密、その他の法律によって保護されています。 本製品の権利、および該当する SDK によってコピー、改変、翻訳、部分的コピー、生成、派生、または融合することで作成したソフトウェアのすべての権利は、例外なく Arcserve またはライセンス提供者、あるいはその両者に帰属します。 本製品の使用権を他の Arcserve 製品と交換することはできません。 本製品は単一の製品としてライセンス契約されます。 本製品の構成要素を分離して使用することはできません。 ライセンス契約者およびライセンス契約者の被雇用者は、本製品および本製品のライセンス条件を厳に機密として保持し、また権限のない者に開示または使用されないように本製品を保護するため最善の努力を講じるものとします。 ライセンス契約者は、(i)準拠法が以下を制限することを明示に禁じている場合を除き、本製品を開示、逆コンパイル、分解、その他リバース エンジニアリングしてはならず、(ii)本製品に基づいた派生物を作成してはならず、(iii)アウトソーシングなど、Arcserve から適切なライセンスを購入することなく、本製品のライセンスを購入していない第三者の利益のために本製品を使用してはならず、(iv)Arcserve から事前に書面にて承諾を得ずに、第三者に対して本製品の使用を許可してはなりません。 ライセンス契約者は本製品のいかなるベンチマーク テストに関する情報も、Arcserve から事前に書面にて承諾を得ずに第三者に開示してはなりません。 準拠法が以下を制限することを明示に禁じている場合を除き、ライセンス契約者は、Arcserve から事前に書面にて承諾を得ずに、本製品の全体または一部を譲渡、委譲、貸与、賃貸、使用、コピー、改変するか、または第三者に本製品に関して上記を許可してはなりません。 ライセンス契約者は、Arcserve または Arcserve へのライセンス提供者の知的財産権に関する表示を削除してはなりません。 ライセンス契約者は、注文書またはCDケースに記載されている認定使用制限の範囲内で本製品を本番使用する場合にのみ、また災害復旧のテスト目的で本製品を使用する期間を任意の3か月のうち1週間に限定する場合にのみ、合理的に必要と判断される範囲内でバックアップ目的および災害復旧目的で本製品をコピーすることができます。 本製品は、Arcserve から書面にて承諾を得ない限り、本製品のライセンスを購入した国の国内でのみ使用することができます(注文書に別途定められている場合を除きます)。 ライセンス契約者は、何らかの理由でライセンス契約が失効した場合に、本製品の部分的コピーを含むすべてのコピーがすべてのコンピュータおよび記憶装置から削除され、本製品の部分的コピーを含むすべてのコピーが破棄または Arcserve に返却されそれらの使用が完全に停止されたことを、Arcserve に対して書面にて保証するものとします。 ライセンス契約者は、米国商務省の輸出管理局によって定められた規制を含む、該当するすべての輸出入規制を遵守するものとします。 ライセンス契約者は、米国商務省の輸出管理局によって定められた規制を含む、該当するすべての輸出入規制を遵守するものとします。 また、上記の表明および保証にライセンス契約者が違反したことに関連する、いかなる損害、料金、罰金、費用または申し立てについても、Arcserve を補償し、防禦し、免責するものとします。 本製品および本製品に付属するすべての文書は、Arcserve の費用のみで開発されたものです。 本製品および本製品に付属するすべての文書は、FAR 2.101に定められている「commercial item」および「computer software」として供与およびライセンス供与されます。 ライセンス契約者が米国 連邦政府機関の場合、本コンピュータ プログラムの使用には、本プログラムとともに提供されるライセンスに含まれる条件の代わりに、その時点で有効な Arcserve の GSA FSS 準拠契約のライセンス条件が適用されます。 その場合、本使用条件における「本製品」および「コンピュータ プログラム」は同じ意味を持つものとします。 本コンピュータ プログラムは Arcserve の費用で開発された商用のもので、公表済みでありかつ著作権で保護されています。 連邦政府機関の代理で第三者が購入する場合、本コンピュータ プログラムは、FAR 52.227-19(c)(2) または DFAR 252.227-7015 に定められた「制限された権利」のもとでのみ、かつ、その時点で有効な Arcserve の GSA FSS 準拠契約に従って政府に譲渡されます。 すべてのソフトウェアは、出荷地渡し(FOB Shipping point)または電子納品にて提供されます。 検収は放棄され、物理的な製品出荷、または電子納品のためのキー/アクセス コードの配信のうち、いずれか早い方が発生時点とみなされます。 本製品の製造者は Arcserve です。 本使用条件は、その準拠法選択の条項にかかわりなく、米国ニューヨーク州法が適用され、それに従って解釈されます。 9. Arcserve は、Arcserve が本使用条件を締結することができることを保証します。また Arcserve は、Arcserve に本使用条件を締結する権限がないという申し立て、およびライセンス契約者が本使用条件に従って本製品を使用したことで第三者の特許権、著作権、その他の知的所有権を侵害したという申し立てによって生じる損害からライセンス契約者を免責、保護、または防禦し、自己の選択により和解することを保証します。 同時に、Arcserve は本製品が公開されている仕様に従って動作することを保証しますが、Arcserve が負うべき責任は、業界標準に鑑みて欠陥を是正するために合理的な努力をすることに限定されます。 上記の本製品の機能に関する保証は、ライセンス契約者が該当するライセンス料および年間メンテナンス料を支払った期間内のみ有効です。また、本製品のライセンスが注文書なしで供与された場合、当該保証はライセンス契約者に本製品のライセンスが供与されてから90日間のみ有効です。Arcserve がライセンス契約者から書面にて上記保証の不履行に関する申し立てを受領してから、合理的な期間内に(a)第三者の知的所有権を侵害せずに、または(b)Arcserve の仕様書に従って本製品を動作させることができない場合、Arcserve またはライセンス契約者のいずれか一方が他方に対して書面にて通知することで本使用条件を解約することができます。その場合、ライセンス契約者が上記の保証期間内に本製品を領収書と共に Arcserve または本製品を供与した Arcserve 認定再販業者に返却した場合に限り、Arcserve または Arcserve 認定再販業者は保証条件を満たさない本製品に対して支払われた該当するライセンス料を返金します。 本項で定めた保証は、本製品のベータ バージョン、本製品のライセンスが試用版または評価版として供与されたもの、およびSDK(ソフトウェア開発キット)には適用されません。 10. 上記を除き、準拠法で許容される範囲内においては、下記の通りです。 (I)Arcserve は、商品性および特定の使用目的に対する適合性についての黙示の保証を含むいかなる保証も、明示、黙示を問わず行いません。 (II)Arcserve はライセンシーまたは第三者に対して、本製品の使用、操作または修正から生じる、時間の損失、金銭の損失、営業権の損失、および間接的損害を含むいかなる損失のクレームについて、Arcserve が当該損害が生じる可能性について報告を受けていたとしても、一切責任を負いません。 上記の責任に関する制限が、準拠法に鑑みて無効であると認められた場合、Arcserve が負う損害賠償責任はライセンス契約者が本製品に対して実際に支払ったライセンス料の金額を超えないものとします。 代理店、卸業者、Arcserve 認定再販業者を含むすべての第三者は、Arcserve に代わって上記の保証条件を改変したり、追加の保証を提供してはなりません。Arcserve は、本製品がライセンス契約者の要求を満たしていること、または本製品の使用が中断しないこと、または欠陥がないことを保証しません。 11. ライセンス契約者は本使用条件を譲渡できますが、ライセンスの譲渡について定めたその時点で有効な Arcserve の方針にライセンス契約者が従う場合に限ります。当該方針には、本製品の使用範囲がライセンス契約者の事業およびライセンス契約者が過半数の株式を所有する子会社の事業を超えないという条件が含まれます。Arcserve は本使用条件を、本製品に関する Arcserve の権益を継承し、本使用条件に定める Arcserve の債務を負う第三者に譲渡できるものとします。また Arcserve は、本使用条件に基づく金銭債権を第三者に譲渡するか、本使用条件または上記の金銭債権に対し担保権を設定することができるものとします。 12. ライセンス契約者が本使用条件の規定に違反した場合、ライセンス契約者が支払い不能になった場合、ライセンス契約者に対する破産手続きまたは財産管理手続きが開始された場合、Arcserve は本使用条件に定める自らの義務の履行を保留する権利および本使用条件をただちに解約する権利を持つものとします。またその場合、Arcserve の他のすべての権利に加えて、本使用条件に基づくすべての支払はその期限の利益を喪失し、ただちに支払期限を迎えるものとします。 13. ライセンス契約者が該当するメンテナンス料を支払わなかった場合、メンテナンスを再開するためには、メンテナンス料が支払われなかった各年に対して、その時点で有効な Arcserve のメンテナンス料の 150% をライセンス契約者が Arcserve に対して支払う必要があるものとします。 14. 裁判所によって本契約のいずれかの条件規定が違法、無効、または執行不能だと判断された場合も、その他の条件規定はすべて完全な執行力および効力を持つものとします。 本使用条件のいずれかの契約条件への違反に対する権利を放棄しても、当該契約条件以外の条件への違反に対する権利を放棄したことにはならず、また当該権利の放棄は当該権利を放棄する当事者から権限を与えられた代表者が書面にて行わないかぎり無効とします。 15. ライセンス契約者が本製品のライセンスを米国外で取得した場合、本製品の使用に以下の各項が適用されます。 第8項の最後の1文の規定にかかわらず、本使用条件はライセンス契約者が本製品のライセンスを取得した国の法律が適用され、それに従って管理されます(以下に別途規定がある場合を除きます)。 アルバニア共和国、アルメニア共和国、ベラルーシ共和国、ボスニア・ヘルツェゴビナ、ブルガリア共和国、クロアチア共和国、グルジア、ハンガリー共和国、カザフスタン共和国、キルギス共和国、マケドニア旧ユーゴスラビア共和国(FYROM)、モルドバ共和国、ルーマニア、ロシア連邦、スロバキア共和国、スロベニア共和国、およびウクライナでは、本使用条件はオーストリア共和国の法律に従って管理されます。 アルゼンチン 第8項の最後の1文が下記の文で置き換えられます。 「本使用条件は、アルゼンチン共和国の法律に従って管理および解釈されます。 本使用条件に関する争議は、すべてTribunales de la Cuidad de Buenos Airesによって裁決されます。」 オーストラリア 第2項、第3項、および第10項の末尾に次の文が追加されます。 「Arcserve から保証が提供されないと明記されていても、ライセンス契約者には Trade Practices Act 1974、その他の州または特別地域の法律によって特定の権利が与えられている場合があり、それらの権利は制限されますが除外されません。 法律により許容される範囲内で、Arcserve は本使用条件の条項に明示されていないすべての条件を除外します。また、Trade Practices Act 条項が物品の販売権、瑕疵のない所有権、または瑕疵のない権限に関連する場合、あるいは Arcserve によって供与される物品が通常は個人または家庭での使用または消費を目的に調達される場合、本項の制限はいずれも適用されません。」 オーストリア 第8項の最後の1文が下記の文で置き換えられます。 「本使用条件は、オーストリアの法律が適用されます。」 第 8 項に次の文が追加されます。「加えて、Arcserve は、ライセンス契約者の創立地、存在地、または永住地の法廷で、ライセンス契約者に対し訴訟を起こすことができるものとします。」 第10項に以下の文が追加されます。 「Arcserve が軽過失を犯した場合の責任はすべて除外されます。」 本使用条件に以下の文が追加されます。 「ライセンス契約者がオーストリア消費者保護法(“Konsumentenschutzgesetz”-“KSchG”)が定める消費者に該当する場合、本使用条件の第2項、第3項、第9項、および第10項は、Arcserve の責任の制限および消費者の保証の制限に関しては適用されません。」 ベルギー 第8項の最後の1文が下記の文で置き換えられます。 「Arcserve 「本使用条件は、チリ共和国の法律が適用され、それに従って解釈されます。 本使用条件に関する争議は、すべてTribunales Ordinarios de la Cuidad de Santiagoによって裁決されます。」 中国 第6項の2番目の文が下記の文で置き換えられます。 すべての料金は付加価値税を含みます。 第8項の最後の1文が下記の文で置き換えられます。 「本使用条件は、準拠法選択の条項に関わりなく、中華人民共和国の法律が適用され、それに従って解釈されます。 本使用条件に関する争議は、すべて管轄権を有する北京の裁判所によって裁決されます。」 コロンビア 第8項の最後の1文が下記の文で置き換えられます。 「本使用条件は、コロンビア共和国の法律が適用され、それに従って解釈されます。 本使用条件に関する争議は、すべてTribunales
