Arcserve (USA), LLC e/o le sue affiliate o società controllate ("Arcserve")

Contratto di licenza con l'utente finale ( il "Contratto") per il prodotto software di Arcserve da installare, relativa documentazione e kit di sviluppo (Software Development Kit – SDK) inclusi nel prodotto (il "Prodotto").

Leggere attentamente i seguenti termini e condizioni relativi all’utilizzo del Prodotto prima di installarlo ed utilizzarlo.  Nel presente Contratto, l'utente finale viene definito "Utente" o "Licenziatario".  

Selezionando il pulsante di opzione "Accetto i termini del Contratto di licenza" in basso, e facendo clic su "Avanti" l'utente: 

(I) dichiara di non essere minorenne e di disporre della capacità giuridica e dell'autorità necessarie ad impegnare se stesso e, se applicabile, il datore di lavoro, al rispetto delle condizioni previste dal presente Contratto; 
(II) dichiara di accettare, per sé, per conto dei soggetti che legalmente rappresenta e/o, se applicabile, del datore di lavoro, le condizioni previste dal presente Contratto.  

Con la selezione del pulsante sottostante con la dicitura "NON accetto i termini del Contratto di licenza" e con la selezione tramite clic sul pulsante con la dicitura "Annulla", la procedura di installazione si interrompe.

1.  Arcserve (o, nei casi in cui il Prodotto venga fornito al di fuori del Nord America, la consociata Arcserve così come identificata dalla successiva Sezione 15 relativamente al Paese in cui viene fornito il Prodotto e, in tale ipotesi, per Arcserve si intenderà tale consociata Arcserve) fornisce al Licenziatario una copia del Prodotto per l'utilizzo da parte di un singolo utente o per la quantità designata come Limitazione all'Uso Autorizzato ("Authorized Use Limitation") in ogni Modulo d'Ordine (definito di seguito) o sulla copertina del CD contenuto all'interno della scatola del Prodotto, che facciano riferimento ai termini di questo Contratto.  Arcserve concede al Licenziatario una licenza d’uso non esclusiva per il Prodotto, conformemente alle disposizioni di questo Contratto così come alle disposizioni di (a) ogni Modulo d'Ordine o Modulo di Registrazione di Arcserve sottoscritto dal Licenziatario e da Arcserve; o, quando applicabile, (b) altro Modulo fornito da Arcserve al Licenziatario (ogni ulteriore riferimento sarà indicato come "Modulo d'Ordine").

2.  Qualora il Prodotto sia una versione alpha o beta del programma, di seguito definito "programma beta" o "versione beta" non attualmente disponibile alla generalità del mercato, Arcserve non garantisce che la versione rilasciata alla generalità del mercato (g.a.) sarà identica al programma in versione beta o che la versione rilasciata alla generalità del mercato non dovrà essere reinstallata.  Il Licenziatario conviene che qualora si sia registrato per il supporto o qualora diversamente richiesto da Arcserve, fornirà a Arcserve informazioni specifiche riguardanti la propria esperienza circa l'utilizzo del Prodotto in versione beta.  Il Licenziatario da atto e accetta che la versione beta del Prodotto (a) deve essere utilizzata solo per finalità di prova (testing) e non per attività di produzione, salvo diversa approvazione scritta da parte di Arcserve e (b) che tale versione non è stata sottoposta a verifiche o a debug e si trova in fase sperimentale, così come la relativa documentazione può essere in fase preliminare e, in molti casi, può risultare incompleta.  Il Licenziatario riconosce che Arcserve non offre alcuna garanzia sulla completezza, sulla precisione o sull'utilizzo e sulle operazioni che il Licenziatario potrà effettuare con la versione beta del Prodotto.  IL PRODOTTO IN BETA VIENE FORNITO “COSÌ COM’È”, SENZA GARANZIE O DICHIARAZIONI DI ALCUN TIPO, SIA IMPLICITE CHE ESPLICITE COMPRESA, SENZA LIMITAZIONI, OGNI GARANZIA O RAPPRESENTAZIONE CIRCA LA TITOLARITÀ DEI DIRITTI O CIRCA LA NON VIOLAZIONE DI DIRITTI DI TERZI. Se il Licenziatario risulta essere anche il collaudatore della versione beta del Prodotto (il "Collaudatore" così come viene definito dall'accordo di Beta Testing sottoscritto dal Licenziatario durante il processo di registrazione, prima del rilascio della versione beta del Prodotto), il Licenziatario conviene che i termini del presente Contratto siano in aggiunta e non in sostituzione, delle condizioni dell'accordo di Beta Testing.
Se il Prodotto è un'edizione gratuita del software UDP per workstation, tale edizione presenterà funzionalità, supporto e manutenzione limitati per alcune delle lingue attualmente supportate da UDP v5. Qualora si desiderasse usufruire delle funzionalità disabilitate nella versione gratuita, sarà possibile eseguire l'aggiornamento a una versione a pagamento del Prodotto. Le opzioni di supporto così come le lingue supportate dalla versione gratuita di UDP per workstation possono essere soggette a modifiche senza preavviso.

3.  Qualora il Prodotto venga concesso in licenza a scopo di valutazione, il Licenziatario accetta di utilizzare il Prodotto unicamente per il suddetto scopo, in conformità alle limitazioni di utilizzo definite nella precedente Sezione 1, per il periodo di prova di trenta (30) giorni, salvo quanto diversamente stabilito per iscritto (il "Periodo di Prova").  Al termine del Periodo di prova, il diritto del Licenziatario di utilizzare termina e il Licenziatario è tenuto a disinstallare il Prodotto e a restituire a Arcserve qualsiasi copia, completa o parziale, dello stesso ovvero certificare per iscritto a Arcserve che qualsiasi copia, completa o parziale, del Prodotto è eliminata e distrutta dagli archivi e/o dai dispositivi di memorizzazione del Licenziatario.  Qualora il Licenziatario desideri continuare a utilizzare il Prodotto oltre il Periodo di prova potrà contattare Arcserve per acquistare una licenza del Prodotto corrispondendo a Arcserve il canone dovuto.  DURANTE IL PERIODO DI PROVA, L'UTILIZZO DEL PRODOTTO DA PARTE DEL LICENZIATARIO È CONSENTITO "COSÌ COM'È", SENZA GARANZIE. Arcserve NON RICONOSCE ALCUNA GARANZIA, IVI INCLUSE, SENZA LIMITAZIONE, LE GARANZIE O LE CONDIZIONI IMPLICITE DI COMMERCIABILITÀ, DI QUALITÀ O DI IDONEITÀ AD UNO SCOPO PARTICOLARE, CON ESCLUSIONE ANCHE DI EVENTUALI GARANZIE ESPRESSE PREVISTE IN ALTRE PARTI DEL PRESENTE CONTRATTO. 

4.  Qualora il Prodotto includa un SDK (Software Development Kit ), i termini e le condizioni di questo paragrafo, si applicano esclusivamente all'utilizzo di SDK.   Il SDK può includere il software, le API e la relativa documentazione.  Il SDK viene fornito esclusivamente per uso interno del Licenziatario, finalizzato allo sviluppo di un software che consenta l’integrazione di software o hardware appartenenti a terzi con il Prodotto, o allo sviluppo di un software che interagisca con il Prodotto, come ad esempio un agente.  L’uso del Prodotto da parte del Licenziatario è riservato esclusivamente al miglioramento dell’utilizzo interno di quest’ultimo.  Al licenziatario non viene concesso alcun diritto di distribuzione del Prodotto stesso.   Resta inoltre inteso che fermo restando le limitazioni d'uso di cui alla Sezione 8, il Licenziatario non è autorizzato a riprodurre, diffondere, vendere o distribuire il SDK o la relativa documentazione o qualsivoglia applicazione contenente versioni eseguibili del SDK a terzi, su Internet, o utilizzare tali eseguibili in violazione della Limitazione all'uso autorizzato applicabile.  In relazione all’utilizzo del SDK in caso di conflitto tra le disposizioni della presente Sezione e le altre disposizioni contenute nel presente Contratto, le disposizioni della presente Sezione prevalgono. 

FATTE SALVE LE NORME INDEROGABILI DI LEGGE, E NONOSTANTE QUALSIVOGLIA DISPOSIZIONE CONTRARIA CONTENUTA NEL PRESENTE DOCUMENTO, IL SDK VIENE FORNITO E LICENZIATO “COSI’ COM’E’” SENZA ALCUN TIPO DI GARANZIA.  

5.  Con il pagamento dei canoni, così come specificati nel Modulo d'Ordine o negli accordi tra il Licenziatario e un rivenditore autorizzato Arcserve , il Licenziatario ottiene titolo all'utilizzo del Prodotto per il periodo specificato nel Modulo d'Ordine (il "Periodo di durata"). L'utilizzo può includere anche il diritto a ricevere i servizi di manutenzione per il periodo indicato nel Modulo d'Ordine.  Tutti i pagamenti dovuti in virtù del presente Contratto dovranno essere saldati in anticipo.  L’installazione di qualsiasi nuova versione del Prodotto fornita al Licenziatario sarà una responsabilità di quest’ultimo.  Allo scadere del Periodo di durata, l’ulteriore utilizzo e/o la manutenzione del Prodotto, come previsto dal presente Contratto, saranno soggetti al pagamento da parte del Licenziatario dei canoni indicati nel Modulo d'Ordine.  Ciononostante, se l'utilizzo del Prodotto è stato autorizzato con la presente licenza e senza la sottoscrizione di un Modulo d'Ordine, il Licenziatario avrà diritto ad utilizzare il Prodotto per un periodo illimitato. In tal caso, la licenza non include il diritto ad usufruire del servizio di manutenzione. Nonostante quanto affermato in precedenza, con riferimento ad ogni prodotto che benefici di costanti aggiornamenti di contenuto, quali signature files e security updates, il Licenziatario avrà il diritto di utilizzare tali aggiornamenti per un periodo di un (1) anno, a partire dalla data di efficacia della licenza d’uso.  

6.  Se la manutenzione viene fornita da Arcserve, essa verrà rinnovata annualmente come specificato nel Modulo d'Ordine con Arcserve.  Tutti i canoni sono al netto delle imposte applicabili.  Il Licenziatario accetta di pagare qualsiasi imposta, tassa o dazio applicati da una qualsiasi Autorità governativa centrale o locale, comprese, senza limitazioni, le imposte federali e locali, sulle vendite, sull'utilizzo, sul valore aggiunto e le imposte sulla proprietà personale (ad esclusione delle imposte di concessione e sul reddito per le quali è responsabile Arcserve) previa presentazione di regolare fattura da parte di Arcserve.  Ogni richiesta di esenzione dal pagamento di tali tariffe, imposte o tasse deve essere giustificata da apposita documentazione che deve essere consegnata a Arcserve.  Per ogni fattura non pagata dal Licenziatario entro i termini stabiliti saranno calcolati degli interessi di mora ad un tasso minimo dell'1,5% mensile oppure al tasso d'interesse legale più alto applicabile.  

7.  Il Licenziatario può utilizzare il Prodotto con le modalità descritte nel presente Contratto esclusivamente per elaborare i propri dati ed i dati delle società di cui detenga un controllo di maggioranza.L'utilizzo è limitato al sito d'installazione, al modello di elaboratore e, se applicabili, alle Limitazioni all'Uso Autorizzato specificate nel Modulo d'Ordine o sulla copertina del CD.  Qualora il Licenziatario desideri utilizzare il Prodotto al di fuori di queste limitazioni, dovrà notificarlo per iscritto a Arcserve che provvederà a fatturare i canoni applicabili, che il Licenziatario dovrà pagare, per tale utilizzo ampliato.  

8.  Inoltre, la titolarità del Prodotto e di qualsivoglia codice oggetto o sorgente forniti al Licenziatario, così come la documentazione, l'aspetto, la struttura e l'organizzazione relative, resteranno di proprietà di Arcserve o dei suoi concessori di licenza e saranno protetti da copyright, brevetto, marchio registrato, segreto commerciale e\o altro tipo di leggi. La titolarità del Prodotto o di qualsivoglia relativa copia, modifica, traduzione, copia parziale, compilazione, lavoro derivato o parti di SDK sarà di proprietà di Arcserve o dei suoi concessori di licenza.  I diritti di utilizzo del Prodotto non potranno essere scambiati con i diritti per l'utilizzo di altri prodotti Arcserve.  Il Prodotto è concesso in licenza come un prodotto singolo. Le singole parti che lo compongono non potranno essere utilizzate separatamente.  Il Licenziatario ed i suoi dipendenti manterranno il massimo riserbo sul Prodotto e sui termini del Contratto di licenza e si impegneranno al massimo al fine di evitare la divulgazione e l'uso non autorizzato del Prodotto. Il Licenziatario non potrà (i) rivelare, decompilare, disassemblare né in alcun modo decodificare il Prodotto, a meno che detta restrizione venga espressamente proibita ai sensi della legge in vigore; (ii) creare elaborati derivati dal Prodotto; (iii) utilizzare il Prodotto per fornire servizi di facilities management, in connessione con un service bureau o come attività per mezzo della quale il Licenziatario, senza acquistare un'apposita licenza da Arcserve, opera o utilizza il Prodotto a vantaggio di una terza parte che non ha acquistato una copia del Prodotto; o (iv) permettere ad eventuali terze parti di utilizzare il Prodotto senza previo consenso scritto di Arcserve.  Il Licenziatario non potrà rivelare a terzi i risultati di eventuali test compiuti sul Prodotto, senza previo consenso scritto di Arcserve.  Il Licenziatario non potrà trasferire, assegnare, affittare, utilizzare, copiare o modificare il Prodotto in toto o in parte o permettere ad altri di compiere quanto in precedenza riportato relativamente al Prodotto, senza previo consenso scritto da parte di Arcserve, salvo che ciò sia diversamente previsto dalle leggi vigenti.  Il Licenziatario non rimuoverà alcun marchio proprietario di Arcserve o dei suoi concessori di licenza.  Il Licenziatario può copiare il Prodotto così come ragionevolmente richiesto per scopi di backup e di disaster recovery, purché l'utilizzo delle riproduzioni del Prodotto sia vincolato alle Limitazioni all'Uso Autorizzato specificate nel Modulo d'Ordine o sulla copertina del CD e purché l'utilizzo del Prodotto per le procedure disaster recovery testing sia limitato ad un periodo di una settimana ogni tre mesi.  Il Prodotto deve essere utilizzato solo all'interno dei confini del Paese dove il Prodotto è stato acquistato (eccetto se diversamente specificato nel Modulo d'Ordine) salvo diversamente consentito per iscritto da parte di Arcserve.  Qualora la presente licenza venga interrotta per qualsiasi motivo, il Licenziatario dovrà certificare a Arcserve per iscritto che tutte le copie complete o parziali del Prodotto sono state cancellate da tutti i computer e/o dai dispositivi di memorizzazione e che sono state restituite a Arcserve o distrutte e che non sono più in funzione.  Il Licenziatario dovrà rispettare le regolamentazioni di importazione e esportazione, comprese quelle adottate dal Office of Export Administration of the US Department of Commerce. Accetta inoltre di risarcire, difendere e mantenere indenne Arcserve in merito ad eventuali danni, spese, penali, multe, costi o reclami relativi alla violazione della Licenza delle suddette dichiarazioni e garanzie.  Il Prodotto e l'eventuale documentazione sono stati completamente sviluppati a spese private.  Vengono forniti in licenza come "oggetto commerciale" "software per computer", come definito dalla normativa FAR2.101.  Nel caso in cui il Licenziatario sia un'autorità governativa federale statunitense, i termini di licenza dell'attuale contratto GSA FSS di Arcserve permettono di regolare l'uso dei programmi, in sostituzione dei termini contenuti nella licenza rilasciata con i programmi.  A tale scopo, il termine "Prodotto" e "Programma" dovranno avere lo stesso significato.  I programmi sono stati sviluppati a spese private, hanno carattere commerciale, sono stati pubblicati e provvisti di copyright. Qualora terze parti acquistino il programma per conto dell'autorità governativa federale, dovranno trasferire i programmi al Governo con "Diritti limitati", come definito nel FAR 52.227-19(c)(2) o nel DFAR 252.227-7015, in conformità con l'attuale contratto di GSA FSS di Arcserve. Tutti i software sono provvisti di punti di spedizione FOB e di recapito elettronico.  L’accettazione del Licenziatario si considera ricevuta ovvero rinunciata nel momento in cui accade il primo dei seguenti eventi 1) la consegna al punti di spedizione ovvero 2) la consegna delle chiavi o i codici di accesso per la consegna elettronica.  Arcserve è il produttore del Prodotto.
Il presente Contratto sarà regolato e interpretato in base alle leggi dello Stato di New York, ad esclusione delle norme sul conflitto di leggi. 

9.  Arcserve garantisce di aver titolo a sottoscrivere il presente Contratto e che risarcirà, manterrà indenne e difenderà il Licenziatario o, a propria discrezione, potrà decidere di comporre qualsiasi disputa sorta sul presupposto che Arcserve non sia autorizzata o che l'utilizzo del Prodotto da parte del Licenziatario, autorizzato in base al presente Contratto, violi il brevetto, i diritti d'autore o altri diritti di proprietà intellettuale di una qualsiasi terza parte.  Arcserve garantisce inoltre che il Prodotto funzionerà in conformità alle relative specifiche pubblicate, posto che la sola responsabilità di Arcserve sarà quella di fare ogni ragionevole sforzo, conformemente agli standard del settore informatico, per correggere ogni eventuale difetto.  La suddetta garanzia relativa al funzionamento del Prodotto avrà efficacia soltanto durante il periodo per cui il Licenziatario avrà pagato il canone di licenza d'uso e di manutenzione o, per i prodotti forniti in licenza senza la sottoscrizione di un Modulo d'Ordine, per il periodo di novanta (90) giorni dall'acquisto della licenza da parte del Licenziatario.  Qualora, nei limiti di un termine ragionevole dopo la ricezione della notifica scritta da parte del Licenziatario del mancato rispetto di una delle suddette garanzie, Arcserve non sia in grado di assicurare il funzionamento del Prodotto (a) senza violare i diritti di proprietà intellettuale di terze parti o (b) in conformità alle specifiche scritte da Arcserve, ciascuna Parte potrà risolvere il presente Contratto, previa notifica scritta da inviarsi all'altra; Arcserve, o il rivenditore autorizzato, provvederanno a rimborsare il prezzo della licenza relativa a tale Prodotto non conforme solo dopo che il Licenziatario avrà restituito il Prodotto a Arcserve o al rivenditore autorizzato da cui ha ottenuto il Prodotto, purché ciò avvenga nei termini della garanzia ed esibendo la ricevuta d'acquisto.  Le garanzie elencate in questa Sezione non vengono applicate alle versioni beta del Prodotto, alla versione di prova o di valutazione o ai Software Development Kit.  

10.  10. FATTO SALVO QUANTO PREVISTO ALLA SEZIONE CHE PRECEDE E LE NORME INDEROGABILI DI LEGGE:  

(I) ARCESERVE NON OFFRE NESSUN'ALTRA GARANZIA, SIA ESPRESSA CHE IMPLICITA, IVI INCLUSE, SENZA LIMITAZIONE, EVENTUALI CONDIZIONI O GARANZIE IMPLICITE DI COMMERCIABILITÀ, QUALITÀ O IDONEITÀ AD UNO SCOPO PARTICOLARE; (II) IN NESSUN CASO ARCSERVE SARÀ RESPONSABILE NEI CONFRONTI DEL LICENZIATARIO O QUALUNQUE ALTRA PARTE PER QUALSIASI RECLAMO PER PERDITE, SIANO ESSE DI TEMPO, DI DENARO, DI AVVIAMENTO E PER I DANNI CONSEQUENZIALI CHE POSSONO RISULTARE DALL'UTILIZZO, DAL FUNZIONAMENTO O DALLA MODIFICA DEL PRODOTTO, ANCHE SE ARCSERVE È STATA AVVISATA DELLA POSSIBILITÀ DI QUESTE PERDITE.  NEL CASO IN CUI LA SUDDETTA LIMITAZIONE DI RESPONSABILITÀ RISULTASSE NON CONFORME ALLA LEGGE APPLICABILE, LA RESPONSABILITÀ DI ARCSERVE PER TALE PRETESA SARÀ LIMITATA ALL'IMPORTO DEL CORRISPETTIVO DI LICENZA D’USO DEL PRODOTTO PAGATO DAL LICENZIATARIO.  LE SUDDETTE GARANZIE NON POTRANNO ESSERE MODIFICATE O INTEGRATE PER CONTO DI ARCSERVE DA TERZI, INCLUSI GLI AGENTI, I DISTRIBUTORI O I RIVENDITORI AUTORIZZATI ARCSERVE. ARCSERVE NON GARANTISCE CHE IL PRODOTTO SODDISFI LE SPECIFICHE ESIGENZE DEL LICENZIATARIO E CHE L'UTILIZZO DEL PRODOTTO SIA PRIVO DI ERRORI O DI INTERRUZIONI.

11.  Il Licenziatario può cedere il presente Contratto soltanto qualora soddisfi le vigenti regole di Arcserve relative alla cessione delle licenze. Tali regole prevedono, tra l'altro, che l'utilizzo del Prodotto non ecceda l'ambito organizzativo del Licenziatario e delle società di cui questi detenga un controllo di maggioranza.  Arcserve può cedere il presente Contratto ad una terza parte che dovesse subentrare nella posizione giuridica di Arcserve rispetto al Prodotto e che dovesse assumere gli stessi obblighi assunti da Arcserve nell'ambito del presente Contratto. Arcserve può anche cedere a qualsiasi terza parte i crediti derivanti dal presente Contratto o concedere analoghi diritti nel modo che riterrà opportuno e nel rispetto delle norme di legge.  

12.  Qualora il Licenziatario violi una qualsiasi disposizione del presente Contratto o qualora divenga insolvente o in caso di assoggettamento del Licenziatario ad una qualsiasi procedura concorsuale, Arcserve avrà il diritto di sospendere la propria prestazione e/o risolvere immediatamente il presente Contratto.In questo caso, in aggiunta agli altri diritti di Arcserve, tutti i corrispettivi contrattualmente previsti, si intenderanno immediatamente esigibili e dovuti a Arcserve.

13.  Qualora il Licenziatario non corrisponda a Arcserve il canone di manutenzione dovuto, potrà in seguito ripristinare il servizio di manutenzione pagando a Arcserve un canone di manutenzione pari al 150% del canone di manutenzione in vigore al momento per ogni anno in cui il canone di manutenzione non è stato corrisposto.

14.  Nel caso in cui una clausola o una previsione del Contratto fosse ritenuta non valida o inefficace, ciò non pregiudicherà in alcun modo la validità e l'efficacia della restante parte del Contratto. Nessuna rinuncia di qualsivoglia violazione del presente Contratto dovrà essere considerata una rinuncia per altro tipo di violazioni; qualsiasi rinuncia sarà efficace soltanto qualora effettuata per iscritto e sottoscritto da un rappresentante debitamente autorizzato della parte rinunciataria.  

15.  Nel caso in cui il Licenziatario acquisti una licenza al di fuori degli Stati Uniti, l'utilizzo del Prodotto sarà regolato anche dalle disposizioni contenute nelle seguenti Sezioni:

Contrariamente a quanto previsto nell'ultima proposizione della Sezione 8, il presente Contratto sarà regolato dalle leggi dello Stato in cui viene acquistata la Licenza, ad eccezione di quanto specificato dalle seguenti disposizioni. 

In Albania, Armenia, Bielorussia, Bosnia/Erzegovina, Bulgaria, Croazia, Georgia, Ungheria, Kazakhistan, Kirghizia, Ex Repubblica Jugoslava di Macedonia, Moldavia, Romania, Russia, Repubblica Slovacca, Slovenia ed Ucraina il presente Contratto viene regolato dalle leggi dell'Austria. 

Argentina

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
l presente Contratto è regolato dalla legge dell'Argentina che, pertanto, senza intento limitativo, regolerà l'interpretazione, l'efficacia, la validità e l'esecuzione del Contratto.  Le Parti concordano che qualsiasi controversia derivante e/o relativa al Modulo Software sarà sottoposta alla giurisdizione e competenza esclusiva del Foro di Ciudad de Buenos Aires.

Australia 

Quanto segue deve intendersi aggiunto alla fine delle Sezioni 2, 3 e 10:
Ferma l'esclusione di ogni garanzia da parte di Arcserve, al Licenziatario vengono riconosciuti determinati diritti dal Trade Practices Act del 1974 e dalla legislazione di alcuni stati o territori che possono essere limitati, ma non esclusi.  Nella misura massima consentita dalla legge, Arcserve esclude ogni obbligo non espressamente previsto dal presente Contratto e, sempre nel limite massimo consentito dalla legge, limita le disposizioni integrative imposte dal Trade Practices Act del 1974 e dalla legislazione di altri stati o territori.  

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
L'esecuzione del presente Contratto è regolata dalla legge dello Stato o del territorio in cui ha luogo la transazione.

Quanto segue deve intendersi aggiunto alla Sezione 10:
Nel caso di inadempimento da parte di Arcserve di una garanzia o di una condizione imposta dal Trade Practices Act del 1974 o dalla legislazione di un altro Stato o territorio, la responsabilità di Arcserve sarà limitata, in caso di beni, alla riparazione o alla sostituzione del bene, ovvero al pagamento della somma necessaria alla riparazione o alla sostituzione del bene e, nel caso di servizi, ad una nuova prestazione del servizio, ovvero al pagamento della somma necessaria ad una nuova prestazione del servizio, secondo la discrezionalità di Arcserve.  Le limitazioni contenute in questa Sezione non si applicano nei casi in cui tale condizione o garanzia si riferisca ad un diritto di vendita, alla titolarità di diritti o al tacito possesso dei beni, oltre che nei casi in cui i beni forniti da Arcserve appartengano ad una categoria di beni generalmente acquistati per uso o consumo personale, domestico o familiare.

Austria 
L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
L'esecuzione del presente Contratto è regolata dalle leggi dell'Austria.  Quanto segue deve intendersi aggiunto alla Sezione 8: Arcserve potrà inoltre promuovere azioni legali contro il Licenziatario dinanzi al Giudice del luogo di residenza del Licenziatario, se persona fisica, o del luogo in cui ha sede la società Licenziataria, se persona giuridica.

Quanto segue deve intendersi aggiunto alla Sezione 10:
Si esclude ogni responsabilità per colpa lieve di Arcserve.

Quanto segue deve intendersi aggiunto al Contratto:
Nel caso in cui il Licenziatario debba essere considerato un consumatore, così come definito dalla legge austriaca per la tutela del contraente debole ("Konsumentenschutzgesetz" - "KSchG"), le Sezioni 2, 3, 9 e 10 del presente Contratto non troveranno applicazione nella parte in cui limitano la responsabilità di Arcserve e la garanzia per il consumatore.

Belgio   

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
Eventuali controversie tra le parti in merito alla costituzione, l'interpretazione, l'esecuzione o la risoluzione del presente Contratto saranno devolute alla giurisdizione esclusiva del Giudice del luogo in cui ha sede Arcserve, ivi incluse, senza limitazione, le misure di conservazione, le procedure di emergenza, di garanzia, o le istanze in caso di più convenuti. 

Brasile 

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
Il presente Contratto sarà interpretato ed eseguito in base alle leggi del Brasile.  Eventuali controversie sorte in merito al presente Contratto saranno devolute alla giurisdizione di una Corte del São Paulo City Hall.

Canada 

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
L'esecuzione del presente Contratto è regolata dalle leggi della provincia dell'Ontario.

Cile 

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
Il presente Contratto sarà interpretato ed eseguito in base alle leggi del Cile.  Eventuali controversie sorte in merito al presente Contratto saranno devolute alla giurisdizione dei Tribunales Ordinarios de la Ciudad de Santiago.

Cina  

Il secondo paragrafo della Sezione 6 viene eliminata e sostituita dalla seguente:
Tutti gli importi si intendono IVA inclusa.   

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
Il presente Contratto sarà eseguito e interpretato in base alle leggi della Repubblica Popolare Cinese, ad esclusione delle norme sul conflitto di leggi.  Eventuali controversie sorte in merito al presente Contratto saranno devolute alla giurisdizione della Corte competente con sede a Pechino.

Colombia

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
Il presente Contratto sarà interpretato ed eseguito in base alle leggi della Colombia.  Eventuali controversie sorte in merito al presente Contratto saranno devolute alla giurisdizione dei Tribunales Ordinarios de la Ciudad de Bogotà.

Repubblica Ceca 
La prima proposizione della Sezione 1 viene eliminata e sostituita dalla seguente:
Arcserve concede al Licenziatario una licenza d'uso non esclusivo per il Prodotto, per l'utilizzo da parte di un singolo utente o la quantità designata come Limitazioni all'Uso Autorizzato ("Authorized Use Limitation") in ogni Modulo d'Ordine (definito di seguito) o sulla copertina del CD all'interno della scatola del Prodotto, che facciano riferimento ai termini di questo Contratto.

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
Il presente Contratto sarà interpretato ed eseguito in base alle leggi della Repubblica Ceca, ad esclusione delle norme sul conflitto di leggi.  Eventuali controversie sorte in merito al presente Contratto saranno devolute alla giurisdizione della competente Corte della Repubblica Ceca.

La Sezione 10 viene eliminata e sostituita dalla seguente:
Ad eccezione di quanto precedentemente stabilito, nel limite massimo consentito dalla legge applicabile, Arcserve esclude ogni altra garanzia, espressa o implicita, ivi inclusa, senza limitazione, le garanzie implicite di commerciabilità e idoneità ad uno scopo particolare. 

Danimarca   

Il terzo paragrafo delle Premesse viene eliminato e sostituito dalla seguente proposizione:
Installando, copiando, utilizzando il Prodotto o selezionando il pulsante di opzione "Accetto i termini del Contratto di licenza" in basso, e facendo clic sul pulsante “Avanti”, l'utente:
(I) Dichiara di non essere minorenne e di disporre della capacità giuridica e dell'autorità necessarie ad impegnare se stesso e, se applicabile, il datore di lavoro, al rispetto delle condizioni previste dal presente Contratto; 
(II) Dichiara di accettare, anche per conto di soggetti che legalmente rappresenta, le condizioni previste dal presente Contratto.

Quanto segue deve intendersi aggiunto all'ultimo paragrafo delle Premesse:
Selezionando il pulsante di opzione “NON accetto i termini del Contratto di licenza", e facendo clic sul pulsante "Annulla", la procedura di installazione verrà interrotta.  L'Utente dovrà rimuovere tutte le copie del Prodotto dal computer e restituire lo stesso a mezzo posta prioritaria con ricevuta di ritorno a Arcserve o al rivenditore autorizzato presso cui è stato acquistato il Prodotto, unitamente alla confezione, alla documentazione fornita e alla prova di acquisto, entro trenta (30) giorni dalla data di acquisto.  L'Utente sarà così immediatamente rimborsato degli importi pagati per ogni licenza acquistata e, se applicabile, verrà rimborsato delle spese di manutenzione sostenute.  Se richiesto contestualmente alla restituzione del Prodotto, l'Utente potrà ottenere da Arcserve o dal rivenditore autorizzato anche il rimborso delle spese di spedizione sostenute per la restituzione del Prodotto, a condizione che fornisca le relative ricevute.

Il testo dalla seconda all'ultima proposizione della Sezione 2 viene eliminato e sostituito dal seguente: 
Il Prodotto in versione beta viene fornito "così com'è" senza garanzie o dichiarazioni di alcun tipo, sia implicite che espresse, ivi incluse, senza limitazione, ogni garanzia, condizione o dichiarazione di commerciabilità, di qualità o di idoneità ad uno scopo particolare, con esclusione anche di eventuali garanzie espresse previste in altre parti del presente Contratto.

L'ultima proposizione della Sezione 3 viene eliminata e sostituita dalla seguente:
Durante il Periodo di prova, l'utilizzo del Prodotto da parte del Licenziatario è consentito "così com'è", senza garanzie e Arcserve non riconosce alcuna garanzia comprese, senza limitazioni, le garanzie implicite di commerciabilità ed idoneità per uno scopo particolare e le altre garanzie espresse in altre sezioni del Contratto. 

La settima proposizione della Sezione 8 viene eliminata e sostituita dalla seguente:
Il Licenziatario non potrà:

(I) Rivelare, decompilare, disassemblare né in alcun modo decodificare (reverse engineering) il Prodotto, ad eccezione di quanto espressamente consentito per legge;
(II) Creare elaborati derivati dal Prodotto;
(III) Utilizzare il Prodotto in connessione con un'agenzia di servizi o come attività per mezzo della quale il Licenziatario, senza acquistare un'apposita licenza da Arcserve, operi o utilizzi il Prodotto a vantaggio di una terza parte, che non ha acquistato una copia del Prodotto;
(IV) Permettere ad eventuali terze parti di utilizzare il Prodotto senza aver prima ottenuto il consenso scritto di Arcserve, ad eccezione del personale a contratto del Licenziatario che lavora nell'azienda del Licenziatario, senza essere coinvolto nella gestione della stessa e per i quali il Licenziatario si impegna espressamente a garantire il rispetto delle disposizioni contenute nel presente Contratto, ivi incluse, senza limitazione, le disposizioni sulla riservatezza.

Sezione 10 La Sezione (A) viene eliminata e sostituita dalla seguente:
Arcserve non offre nessun'altra garanzia, sia espressa che implicita, ivi incluse, senza limitazione, eventuali condizioni o garanzie implicite di commerciabilità, qualità o idoneità ad uno scopo particolare. 

Quanto segue deve intendersi aggiunto alla fine della Sezione 10:
Le precedenti limitazioni ed esclusioni della responsabilità non saranno applicabili ad eventuali responsabilità connesse a:
a. danni materiali alla proprietà, se causati dalla negligenza di un dipendente o un rappresentante autorizzato di Arcserve, nel cui caso la responsabilità massima di Arcserve sarà limitata all'importo di $1.000.000 per ciascun evento o serie di eventi;
b. morte o lesione personale, se causate dalla negligenza di un dipendente o un rappresentante autorizzato di Arcserve.

Francia 

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
Eventuali controversie tra le parti in merito alla costituzione, l'interpretazione, l'esecuzione o la risoluzione del presente Contratto saranno devolute alla giurisdizione esclusiva del Tribunale commerciale di Parigi, ivi incluse, senza limitazione, le misure di conservazione, le procedure di emergenza, di garanzia o le istanze in caso di più convenuti.


Germania 

La Sezione 6 del Contratto viene eliminata. 

La dodicesima proposizione della Sezione 8 viene eliminata. La sedicesima proposizione della Sezione 8 viene eliminata e sostituita dalla seguente: 
Il Licenziatario dovrà conformarsi a tutte le disposizioni vigenti in materia di importazione ed esportazione, incluse quelle adottate dall'Office of Export Administration del Dipartimento del Commercio statunitense, quelle adottate dai governi europei interessati oltre che alla legislazione tedesca sulle esportazioni.  Il Licenziatario dichiara di essere a conoscenza del fatto che le limitazioni imposte dagli Stati Uniti, dalla Germania e dall'Unione Europea variano continuamente, così che accetta di adeguarsi ad ogni aggiornamento della regolamentazione relativo ad un dato Prodotto.

Quanto segue deve intendersi aggiunto alla Sezione 9:
Arcserve non sarà responsabile per eventuali violazioni connesse all'utilizzo di una versione alterata del Prodotto, a meno che l'alterazione non sia stata autorizzata per iscritto da Arcserve.

La Sezione 10 viene eliminata e sostituita dalla seguente:
In caso di (i) condotta dolosa, nessuna limitazione di responsabilità sarà applicabile; (ii) lesione personale o danno alla proprietà, la responsabilità di Arcserve verso il Licenziatario sarà limitata all'importo massimo che Arcserve potrà ottenere in base alle proprie polizze assicurative; (iii) colpa grave che abbia generato eventi diversi dalle lesioni personali o dai danni alla proprietà, la responsabilità di Arcserve verso il Licenziatario sarà limitata ad un importo pari a quello corrisposto per l'acquisto della Licenza d'uso del Prodotto; (iv) negligenza grave che abbia generato eventi diversi dalle lesioni personali o dai danni alla proprietà, la responsabilità di Arcserve verso il Licenziatario sarà limitata ad un importo pari al cinquanta percento (50%) di quanto corrisposto per l'acquisto della Licenza d'uso del Prodotto. Ciononostante, l'importo dovuto a titolo di risarcimento per l'insieme delle responsabilità previste ai precedenti punti (iii) e (iv) non potrà mai eccedere il valore del prezzo di acquisto del Prodotto.  Ad eccezione delle ipotesi di dolo o colpa grave, nessuna delle parti sarà responsabile nei confronti dell'altra per i danni indiretti, incidentali o consequenziali, ivi inclusi, senza limitazione, i pregiudizi arrecati ai servizi forniti al Licenziatario, le mancate vendite, il lucro cessante o la perdita di dati conseguente o comunque connesso all'implementazione o all'utilizzo del Prodotto.  Le parti non potranno più promuovere alcuna azione fondata sul presente Contratto, qualunque ne sia la forma, trascorsi tre (3) anni dal giorno in cui si è verificata la causa che originerebbe l'azione, ovvero, nel caso di mancato pagamento, dal giorno di emissione della fattura relativa al pagamento atteso. Nessuna parte dovrà rispondere del proprio inadempimento o del ritardo nell'adempimento di una delle prestazioni cui è tenuta in forza del presente Contratto, se l'inadempimento o il ritardo nell'adempimento devono essere ricondotti ad eventi o circostanze di forza maggiore.  In questi casi, l'inadempimento o il ritardato adempimento non costituiscono violazione delle disposizioni contrattuali ed il tempo previsto per l'adempimento dovrà prolungarsi per tutto il tempo del perdurare della causa di forza maggiore.

Grecia 

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
Eventuali controversie sorte in merito al presente Contratto saranno devolute alla giurisdizione delle Corti di Atene. 

Hong Kong

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
Il presente Contratto sarà interpretato ed eseguito in base alle leggi di Hong Kong.  Eventuali controversie sorte in merito al presente Contratto saranno devolute alla giurisdizione esclusiva delle Corti di Hong Kong.

Quanto segue deve intendersi aggiunto dopo l’ultimo paragrafo della Sezione 10: le limitazioni di responsabilità e il limite massimo di responsabilità appena indicati vengono fissati senza pregiudizio alcuno dei diritti riconosciuti al Licenziatario per legge, così come previsti dalla sale of goods ordinance, dalla supply of services (implied terms) ordinance o, ancora, dalla control of exemption sections ordinance, né tanto meno potranno limitare o escludere la responsabilità conseguente ai casi di morte o lesione personale riconducibili esclusivamente alla negligenza di Arcserve.

India

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
Il presente Contratto sarà eseguito ed interpretato in base alle leggi dell'India ed ogni controversia sorta in merito allo stesso sarà devoluta alla giurisdizione esclusiva delle Corti di Mumbai.

Indonesia 

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
Il presente Contratto e le relative disposizioni sono retti dalle leggi del governo dell'Indonesia.  Il tribunale dell'Indonesia, con sede a Jakarta, rappresenterà la sola e unica Autorità, in conformità a qualsivoglia controversia relativa alle disposizioni di cui al presente Contratto.

La Sezione 9 viene modificata con l'aggiunta della seguente disposizione:
Il Licenziatario garantisce di (i) avere i pieni poteri e l'autorità conferitigli della società; e (ii) avere la capacità giuridica necessaria per stipulare, eseguire ed adempiere il presente Contratto.  Arcserve e il Licenziatario dichiarano di essere disposti a rinunciare ad eventuali convenzioni, procedure e all'applicazione di eventuali leggi nel caso in cui sia necessario l'ordine di un tribunale per sciogliere il presente Contratto.

Israele  

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
Eventuali controversie sorte in merito al presente Contratto saranno devolute alle Corti di Tel Aviv. 

Italia 

Conformemente a quanto previsto dagli articoli 1341 e 1342 del Codice Civile italiano, il Licenziatario dichiara espressamente di accettare le condizioni e i termini previsti dalle Sezioni 6 (con particolare riguardo al tasso di interesse determinato nell'ultima proposizione), 8 e 9.

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
Il presente Contratto sarà regolato e interpretato secondo la legislazione italiana. Qualsiasi controversia che dovesse insorgere tra le Parti, sarà affidata alla competenza esclusiva del Foro di Milano. 

Giappone

Il terzo paragrafo della Sezione 6 viene eliminato e sostituito dal seguente paragrafo:
Il Licenziatario accetta di pagare eventuali tariffe, oneri o tasse imposte o pretese da governi o agenzie governative, ad esclusione delle tasse di competenza di Arcserve, su presentazione della fattura da parte di Arcserve. 

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
Il presente Contratto sarà interpretato ed eseguito in base alle leggi vigenti in Giappone, ad esclusione delle norme sul conflitto di leggi.  Eventuali controversie sorte in merito al presente Contratto saranno devolute alla giurisdizione delle Corti del distretto di Tokyo in Giappone.

Corea

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo: 
Il presente Contratto sarà interpretato ed eseguito in base alle leggi della Repubblica di Corea, ad esclusione delle norme sul conflitto di leggi.

Libia, Egitto, Libano, Giordania, Iraq, Arabia Saudita, Kuwait, Qatar, Emirati Arabi, Yemen e Pakistan

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
Il presente Contratto sarà interpretato ed eseguito in base alle leggi di Dubai e alle leggi federali degli Emirati Arabi.
Eventuali controversie sorte in merito al presente Contratto saranno composte arbitrariamente in base alle leggi della Commercial Conciliation and Arbitration della Camera di Commercio e Industria di Dubai, le cui normative implicano l'obbligo di menzionare questo trattato.  La sede per l'espletamento dell'arbitrato sarà Dubai. Le procedure dell'arbitrato e la sentenza dovranno essere condotte e scritte in lingua inglese.  La sentenza emessa potrà essere resa esecutiva da qualsiasi tribunale avente una giurisdizione, o sarà possibile l'applicazione da parte di tale tribunale al fine di un riconoscimento giuridico della sentenza o di qualsiasi ordine di esecuzione della stessa, così come richiedano le circostanze. La sentenza dell'arbitrato sarà il solo e unico rimedio tra le parti in relazione a qualsiasi reclamo o controricorso presentati ai giudici.

Malesia

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
Il presente Contratto sarà interpretato ed eseguito in base alle leggi della Malesia.  Eventuali controversie sorte in merito al presente Contratto saranno devolute alla giurisdizione esclusiva delle Corti della Malesia.

Quanto segue deve intendersi aggiunto alla Sezione 10:
Ferma l'esclusione di ogni garanzia da parte di Arcserve, al Licenziatario potrebbero essere riconosciuti alcuni diritti dal Consumer Protection Act del 1999; in questo caso le garanzie saranno limitate nella misura massima consentita dalla legislazione applicabile.

Messico 

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
Il presente Contratto sarà interpretato ed eseguito in base alle leggi del Messico.  Eventuali controversie sorte in merito al presente Contratto saranno devolute alla giurisdizione dei Tribunales de la Ciudad de México.


Paesi Bassi

Il terzo paragrafo delle Premesse viene eliminato e sostituito dalla seguente proposizione:
Installando, copiando, utilizzando il Prodotto o selezionando il pulsante di opzione "Accetto i termini del Contratto di licenza" in basso, e facendo clic sul pulsante “Avanti”, l'utente: 
(I) Dichiara di non essere minorenne e di disporre della capacità giuridica e dell'autorità necessarie ad impegnare se stesso e, se applicabile, il datore di lavoro, al rispetto delle condizioni previste dal presente Contratto; 
(II) Dichiara di accettare, anche per conto di soggetti che legalmente rappresenta, le condizioni previste dal presente Contratto.

Quanto segue deve intendersi aggiunto all'ultimo paragrafo delle Premesse:
Selezionando il pulsante di opzione “NON accetto i termini del Contratto di licenza", e facendo clic sul pulsante "Annulla", la procedura di installazione verrà interrotta.  L'Utente dovrà rimuovere tutte le copie del Prodotto dal computer e restituire lo stesso a mezzo posta prioritaria con ricevuta di ritorno a Arcserve o al rivenditore autorizzato presso cui è stato acquistato il Prodotto, unitamente alla confezione, alla documentazione fornita e alla prova di acquisto, entro trenta (30) giorni dalla data di acquisto.  L'Utente sarà così immediatamente rimborsato degli importi pagati per ogni licenza acquistata e, se applicabile, verrà rimborsato delle spese di manutenzione sostenute.  Se richiesto contestualmente alla restituzione del Prodotto, l'Utente potrà ottenere da Arcserve o dal rivenditore autorizzato anche il rimborso delle spese di spedizione sostenute per la restituzione del Prodotto, a condizione che fornisca le relative ricevute.

Il testo dalla seconda all'ultima proposizione della Sezione 2 viene eliminato e sostituito dal seguente:
Il Prodotto in versione beta viene fornito "così com'è" senza garanzie o dichiarazioni di alcun tipo, sia implicite che espresse, ivi incluse, senza limitazione, ogni garanzia, condizione o dichiarazione di commerciabilità, di qualità o di idoneità ad uno scopo particolare, con esclusione anche di eventuali garanzie espresse previste in altre parti del presente Contratto.

L'ultima proposizione della Sezione 3 viene eliminata e sostituita dalla seguente:
Durante il Periodo di prova, l'utilizzo del Prodotto da parte del Licenziatario è consentito "così com'è", senza garanzie e Arcserve non riconosce alcuna garanzia comprese, senza limitazioni, le garanzie implicite di commerciabilità ed idoneità per uno scopo particolare e le altre garanzie espresse in altre sezioni del Contratto. 

La settima proposizione della Sezione 8 viene eliminata e sostituita dalla seguente:
Il Licenziatario non potrà:
(I) Rivelare, decompilare, disassemblare né in alcun modo decodificare (reverse engineering) il Prodotto, ad eccezione di quanto espressamente consentito per legge;

(IV) Permettere ad eventuali terze parti di utilizzare il Prodotto senza aver prima ottenuto il consenso scritto di Arcserve, ad eccezione del personale a contratto del Licenziatario che lavora nell'azienda del Licenziatario, senza essere coinvolto nella gestione della stessa e per i quali il Licenziatario si impegna espressamente a garantire il rispetto delle disposizioni contenute nel presente Contratto, ivi incluse, senza limitazione, le disposizioni sulla riservatezza. 

La Sezione 10 (A) viene eliminata e sostituita dalla seguente:
Arcserve non offre nessun'altra garanzia, sia espressa che implicita, ivi incluse, senza limitazione, eventuali condizioni o garanzie implicite di commerciabilità, qualità o idoneità ad uno scopo particolare.

Quanto segue deve intendersi aggiunto alla fine della Sezione 10:
Le precedenti limitazioni ed esclusioni della responsabilità non saranno applicabili ad eventuali responsabilità connesse a:
a. danni materiali alla proprietà, se causati dalla negligenza di un dipendente o un rappresentante autorizzato di Arcserve, nel cui caso la responsabilità massima di Arcserve sarà limitata all'importo di $1.000.000 per ciascun evento o serie di eventi;
b. morte o lesione personale, se causate dalla negligenza di un dipendente o un rappresentante autorizzato di Arcserve; o 
c. dolo o colpa grave di Arcserve.

Nuova Zelanda

Nonostante quanto previsto dall'ultima proposizione della Sezione 6, il tasso di interesse applicabile alle fatture non pagate dal Licenziatario è dell'1,5% mensile.

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
Il presente Contratto sarà interpretato ed eseguito in base alle leggi della Nuova Zelanda.  Eventuali controversie sorte in merito al presente Contratto saranno devolute alla giurisdizione esclusiva delle Corti della Nuova Zelanda. 

Quanto segue deve intendersi aggiunto alla Sezione 10:
Ferma l'esclusione di ogni garanzia da parte di Arcserve, al Licenziatario potrebbero essere riconosciuti alcuni diritti dal Consumer Guarantees Act del 1993 o da altre normative che non possono essere limitati o esclusi.  Il Consumer Guarantees Act del 1993 non verrà applicato in relazione ad alcuni beni o servizi forniti da Arcserve che il Licenziatario abbia acquistato per scopi commerciali, secondo la definizione che viene data dalla legge appena citata.  Nel caso in cui il Prodotto non venisse acquistato per tali scopi, le limitazioni fissate nella presente Sezione saranno ridimensionate in base a quanto previsto dal Consumer Guarantees Act del 1993.

Quanto segue deve intendersi aggiunto alla Sezione 12:
I diritti di Arcserve previsti dalla presente Sezione potranno applicarsi anche nei casi di pronuncia di risoluzione, di avvio di un procedimento legale per la vendita o la liquidazione coatta dell'azienda del Licenziatario.

Norvegia  

Il terzo paragrafo delle Premesse viene eliminato e sostituito dalla seguente proposizione:
Installando, copiando, utilizzando il Prodotto o selezionando il pulsante di opzione "Accetto i termini del Contratto di licenza" in basso, e facendo clic sul pulsante “Avanti”, l'utente:
(I) Dichiara di non essere minorenne e di disporre della capacità giuridica e dell'autorità necessarie ad impegnare se stesso e, se applicabile, il datore di lavoro, al rispetto delle condizioni previste dal presente Contratto;
(II) Dichiara di accettare, anche per conto di soggetti che legalmente rappresenta, le condizioni previste dal presente Contratto.

Quanto segue deve intendersi aggiunto all'ultimo paragrafo delle Premesse:
Selezionando il pulsante di opzione “NON accetto i termini del Contratto di licenza", e facendo clic sul pulsante "Annulla", la procedura di installazione verrà interrotta.  L'Utente dovrà rimuovere tutte le copie del Prodotto dal computer e restituire lo stesso a mezzo posta prioritaria con ricevuta di ritorno a Arcserve o al rivenditore autorizzato presso cui è stato acquistato il Prodotto, unitamente alla confezione, alla documentazione fornita e alla prova di acquisto, entro trenta (30) giorni dalla data di acquisto.  L'Utente sarà così immediatamente rimborsato degli importi pagati per ogni licenza acquistata e, se applicabile, verrà rimborsato delle spese di manutenzione sostenute.  Se richiesto contestualmente alla restituzione del Prodotto, l'Utente potrà ottenere da Arcserve o dal rivenditore autorizzato anche il rimborso delle spese di spedizione sostenute per la restituzione del Prodotto, a condizione che fornisca le relative ricevute.

Il testo dalla seconda all'ultima proposizione del primo paragrafo viene eliminato e sostituito dal seguente:
Il Prodotto in versione beta viene fornito "così com'è" senza garanzie o dichiarazioni di alcun tipo, sia implicite che espresse, ivi incluse, senza limitazione, ogni garanzia, condizione o dichiarazione di commerciabilità, di qualità o di idoneità ad uno scopo particolare, con esclusione anche di eventuali garanzie espresse previste in altre parti del presente Contratto.

L'ultima proposizione della Sezione 3 viene eliminata e sostituita dalla seguente:
Durante il Periodo di prova, l'utilizzo del Prodotto da parte del Licenziatario è consentito "così com'è", senza garanzie e Arcserve non riconosce alcuna garanzia comprese, senza limitazioni, le garanzie implicite di commerciabilità ed idoneità per uno scopo particolare e le altre garanzie espresse in altre sezioni del Contratto. 

La settima proposizione della Sezione 8 viene eliminata e sostituita dalla seguente:
Il Licenziatario non potrà:
(I) Rivelare, decompilare, disassemblare né in alcun modo decodificare (reverse engineering) il Prodotto, ad eccezione di quanto espressamente consentito per legge;
(II) Creare elaborati derivati dal Prodotto;
(III) Utilizzare il Prodotto in connessione con un'agenzia di servizi o come attività per mezzo della quale il Licenziatario, senza acquistare un'apposita licenza da Arcserve, operi o utilizzi il Prodotto a vantaggio di una terza parte, che non ha acquistato una copia del Prodotto;
(IV) Permettere ad eventuali terze parti di utilizzare il Prodotto senza aver prima ottenuto il consenso scritto di Arcserve, ad eccezione del personale a contratto del Licenziatario che lavora nell'azienda del Licenziatario, senza essere coinvolto nella gestione della stessa e per i quali il Licenziatario si impegna espressamente a garantire il rispetto delle disposizioni contenute nel presente Contratto, ivi incluse, senza limitazione, le disposizioni sulla riservatezza.

La Sezione 10 (A) viene eliminata e sostituita dalla seguente:
Arcserve non offre nessun'altra garanzia, sia espressa che implicita, ivi incluse, senza limitazione, eventuali condizioni o garanzie implicite di commerciabilità, qualità o idoneità ad uno scopo particolare.

Quanto segue deve intendersi aggiunto alla fine della Sezione 10:

Peru

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
Il presente Contratto sarà interpretato ed eseguito in base alle leggi del Perù.  Eventuali controversie sorte in merito al presente Contratto saranno devolute alla giurisdizione dei Tribunales Ordinarios de La Ciudad de Lima.

Filippine

Le prime sette proposizioni della Sezione 8 vengono eliminate e sostituite da quanto segue:
La titolarità del Prodotto e di tutte le sue varianti resteranno di Arcserve.  Il Prodotto è un segreto commerciale di proprietà di Arcserve o dei suoi concessionari.  I diritti di utilizzo del Prodotto non potranno essere scambiati con i diritti per l'utilizzo di altri prodotti Arcserve.  Il Licenziatario ed i suoi dipendenti manterranno strettamente confidenziale qualsiasi informazione sul Prodotto e sui termini del presente Contratto.  Fatte salve le norme inderogabili di legge, al Licenziatario sarà vietato rivelare, decompilare, disassemblare o in altro modo decodificare (reverse engineering) il Prodotto.

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
Il presente Contratto sarà interpretato ed eseguito in base alle leggi delle Filippine.  Eventuali controversie sorte in merito al presente Contratto saranno devolute alla giurisdizione esclusiva delle Corti di Makati City.   

La Sezione 12 viene eliminata e sostituita da quanto segue:
Qualora il Licenziatario violi una qualsiasi disposizione del presente Contratto o qualora divenga insolvente o in caso di assoggettamento del Licenziatario ad una qualsiasi procedura concorsuale, Arcserve avrà il diritto di sospendere la propria prestazione e/o risolvere immediatamente il presente Contratto.In questo caso, in aggiunta agli altri diritti di Arcserve, tutti i corrispettivi contrattualmente previsti, si intenderanno immediatamente esigibili e dovuti a Arcserve.

Polonia 
Nel caso in cui i pagamenti dovessero essere eseguiti in PLN, l'ultima proposizione della Sezione 6 dovrà intendersi sostituita da quanto segue:
Su ogni fattura non pagata dal Licenziatario entro i termini stabiliti saranno calcolati gli interessi di mora ad un tasso minimo dell'1,5% mensile oppure al tasso d'interesse di mora legale più alto applicabile in Polonia.

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
L'esecuzione del presente Contratto è regolata dalle leggi della Polonia.

La Sezione 12 viene eliminata e sostituita da quanto segue:
Qualora il Licenziatario violi una qualsiasi disposizione del presente Contratto o qualora divenga insolvente o vengano intentate nei suoi confronti azioni legali di curatela o fallimento, Arcserve avrà il diritto di sospendere la propria prestazione e/o, nella misura consentita dalla legge, di risolvere immediatamente il presente Contratto. In questo caso, in aggiunta agli altri diritti di Arcserve, tutti i corrispettivi contrattualmente previsti esigibili o di futura esigibilità, si intenderanno immediatamente dovuti a ed esigibili da Arcserve.

Portogallo 
L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
Eventuali controversie sorte in merito al presente Contratto saranno devolute alla giurisdizione delle Corti di Lisbona. 

Singapore 

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
Il presente Contratto sarà interpretato ed eseguito in base alle leggi di Singapore.  Eventuali controversie sorte in merito al presente Contratto saranno devolute alla giurisdizione esclusiva delle Corti di Singapore.

Quanto segue deve intendersi aggiunto alla fine della Sezione 9:
Nella misura massima consentita dalla legge, Arcserve declina ogni responsabilità connessa a norme o garanzie implicite di qualità o di idoneità ad uno scopo particolare. 

Quanto segue deve intendersi aggiunto alla fine della Sezione 10:
La limitazione della responsabilità stabilita nella precedente Sezione non si applica al mancato rispetto da parte di Arcserve di una delle obbligazioni previste dalla Sezione 12 del Sales of Goods Act (Cap. 393).  Inoltre, se l'Utente è un consumatore, la limitazione di responsabilità non si applicherà nei casi di mancato rispetto da parte di Arcserve delle obbligazioni previste dalle Sezioni 13, 14 o 15 del Sale of Goods Act (Cap 393).

Svezia  

Il terzo paragrafo delle Premesse viene eliminato e sostituito dalla seguente proposizione:
Installando, copiando, utilizzando il Prodotto o selezionando il pulsante di opzione "Accetto i termini del Contratto di licenza" in basso, e facendo clic sul pulsante “Avanti”, l'utente:

La Sezione 10 (A) viene eliminata e sostituita dalla seguente:
Arcserve non offre nessun'altra garanzia, sia espressa che implicita, ivi incluse, senza limitazione, eventuali condizioni o garanzie implicite di commerciabilità, qualità o idoneità ad uno scopo particolare.

Svizzera 
Quanto segue deve intendersi aggiunto alla fine della Sezione 1:
La sede per l'espletamento di qualsiasi obbligo o dovere di Arcserve ai sensi del presente Contratto è Islandia, New York.

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
Ogni disputa relativa al presente Contratto sarà risolta da una corte con giurisdizione competente entro i confini dello stato di New York, U. S. a. 

Taiwan

Il secondo paragrafo della Sezione 6 viene eliminata e sostituita dalla seguente:
Tutti gli importi si intendono IVA inclusa. 

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
Il presente Contratto sarà interpretato ed eseguito in base alle leggi di Taiwan, ad esclusione delle norme sul conflitto di leggi.  Eventuali controversie sorte in merito al presente Contratto saranno devolute alla giurisdizione delle Corti del Distretto di Taipei.

Tailandia

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
Il presente Contratto sarà interpretato ed eseguito in base alle leggi della Thailandia.  Eventuali controversie sorte in merito al presente Contratto saranno devolute alla giurisdizione esclusiva delle Corti della Thailandia.

Turchia 
Quanto segue deve intendersi aggiunto alla fine della Sezione 8:
Il Licenziatario si impegna a tutelare la riservatezza delle informazioni che costituiscono segreto commerciale e ad adottare ogni soluzione necessaria al fine di assicurare e preservare la riservatezza di cui sopra, così da proteggere tali informazioni, o anche solo parti di esse, ed impedirne la divulgazione.  Inoltre, il Licenziatario si impegna espressamente a:
(I) Non utilizzare un segreto commerciale di Arcserve in modo diretto o indiretto in alcuna circostanza e per nessuna ragione, né per suo conto né per conto di terze parti e a non consentire che esso venga utilizzato per scopi diversi da quelli esplicitamente autorizzati da Arcserve;
(II) Non rivelare, decompilare, disassemblare né in alcun modo decodificare (reverse engineering) il Prodotto e ad impedirne la divulgazione in ogni forma; 
(III) Non riprodurre o consentire ad altri di riprodurre la Copia senza il previo consenso scritto di Arcserve.

Il Licenziatario dichiara di essere a conoscenza del fatto che la violazione di uno degli obblighi impostigli dalla presente Sezione produrrebbe notevoli danni a Arcserve, che non potrebbero essere ristorati con la semplice restituzione di tutte le copie del Prodotto, generate in connessione con la violazione.  Conseguentemente, il Licenziatario si impegna a tenere totalmente indenne Arcserve per i danni prodotti da questo tipo di violazione.

Il Licenziatario dichiara di essere a conoscenza del fatto che Arcserve ha il diritto di prevenire ogni minaccia alla riservatezza oltre che il diritto di limitare gli effetti di una infrazione o una violazione del dovere di riservatezza prodotta dal Licenziatario, ricorrendo ad azioni legali; dichiara inoltre di essere a conoscenza del fatto che, in caso di riconoscimento giudiziale di una violazione da parte del Licenziatario, lo stesso dovrà rimborsare a Arcserve le spese e i costi del giudizio inclusi gli onorari del procuratore.

Quanto segue deve intendersi aggiunto alla fine della Sezione 9:
Nel caso in cui Arcserve non dovesse essere in grado, in tutto o in parte, di eseguire o portare a termine una delle garanzie cui è contrattualmente tenuta, a causa di eventi di forza maggiore, tra cui devono essere compresi ordini o disposizioni dell'autorità governativa della Turchia, caso fortuito, guerre, rivoluzioni o sommosse, epidemie, scioperi, serrate e ogni altro evento o forza che sfugga ad un ragionevole controllo, dovrà essere liberata da tali garanzie e non potrà essere ritenuta responsabile per il mancato adempimento e/o il mancato completamento della prestazione cui era tenuta, per tutto il tempo e nella misura in cui tali forze renderanno impossibile l'adempimento.

Quanto segue deve intendersi aggiunto alla fine della seconda proposizione della Sezione 10:
AD ECCEZIONE DI QUANTO DOVUTO A DOLO, COLPA O NEGLIGENZA DA PARTE DI Arcserve.

Regno Unito 

Il terzo paragrafo delle Premesse viene eliminato e sostituito dalla seguente proposizione:

L'ultimo paragrafo della Sezione 8 viene eliminato e sostituito dal seguente paragrafo:
Eventuali controversie sorte in merito al presente Contratto saranno disciplinate dalle leggi di Inghilterra e Galles e verranno devolute alla giurisdizione esclusiva delle Corti Inglesi.

La Sezione 10 (A) viene eliminata e sostituita dalla seguente:
