Arcserve (USA), LLC et/ou ses filiales ou organisations affiliées (« Arcserve ») Contrat de Licence de l'Utilisateur Final (ci-après « le Contrat ») relatif au produit logiciel Arcserve installé ainsi que sa documentation associée et tout kit de développement logiciel (KDL), tel que défini ci-dessous, incorporé au produit (ci-après le « Progiciel »). Veuillez lire attentivement les termes et conditions ci-après concernant votre droit d'utilisation du Progiciel avant de l'installer et de l'utiliser. Vous serez ci-après dénommé(e) « Vous » ou le « Détenteur ». En sélectionnant le bouton d'option J'accepte les termes de ce contrat de licence, puis en cliquant sur le bouton Suivant, vous certifiez que : (I) vous n'êtes pas mineur et que vous avez la capacité légale et le pouvoir de vous engager ou d'engager votre employeur, selon le cas, à respecter les termes du présent Contrat ; (II) vous consentez en votre nom propre et/ou en tant que personne mandatée par votre employeur, selon le cas, à être lié par ce Contrat. Si vous sélectionnez le bouton d'option « Je refuse les termes de ce Contrat de Licence » ci-dessous et cliquez sur le bouton Annuler, la procédure d'installation cessera. 1. Arcserve (ou lorsque le Progiciel est fourni en dehors de l'Amérique du Nord, la filiale d'Arcserve identifiée d'après l'article 15 ci-dessous pour le pays dans lequel le Progiciel est fourni ; dans ce cas, Arcserve signifie la filiale d'Arcserve ainsi identifiée) fournit au Détenteur un exemplaire du Progiciel, pour un seul utilisateur, ou dans la limite d'utilisation autorisée (ci-après « la Limite d'Utilisation Autorisée » ou le « Périmètre d'utilisation ») tel que stipulé dans le Bon de commande (défini ci-après) faisant référence au Contrat, ou sur toute pochette de CD incluse dans la boîte du Progiciel. Arcserve octroie au Détenteur une licence non exclusive d'utilisation du Progiciel suivant les termes du Contrat ainsi que suivant les termes, selon le cas, (a) de tout Bon de commande ou Carte d'enregistrement d'Arcserve signée par les parties ; ou (b) d'un Certificat de Licence fourni par Arcserve au Détenteur (indifféremment ci-après désignés « Bon de commande »). 2. Si le Progiciel est une version alpha ou une version bêta du programme (ci-après « Programme bêta » ou « Version bêta ») et n'est pas commercialisé à cette date, Arcserve ne garantit pas que la version commercialisée ultérieurement sera identique à cette Version bêta ou que la version commercialisée ne nécessitera pas une réinstallation. Le Détenteur accepte que s'il s'est enregistré auprès du support d'Arcserve ou si Arcserve le demande, il devra fournir des informations spécifiques relatives à son utilisation du Progiciel. Le Détenteur reconnaît et accepte que la Version bêta du Progiciel (a) doit être seulement utilisée pour les besoins de tests et ne doit pas être utilisée en production sauf autorisation écrite d'Arcserve, et (b) est expérimentale, partant du principe qu'elle n'a pas été testée ou déboguée et que la documentation peut être à l'état de projet et sera, dans de nombreux cas, incomplète. Le Détenteur accepte qu'Arcserve ne fournisse aucune garantie quant au caractère achevé ou correct de la Version bêta du Progiciel ou à l'utilisation ou sa mise en œuvre par le Détenteur. LES PROGICIELS A L'ETAT DE VERSION BETA SONT FOURNIS « TELS QUELS », SANS GARANTIE D'AUCUNE SORTE, Y COMPRIS DE NON CONTREFAÇON. Si le Détenteur est un Bêta testeur (tel que défini dans le Contrat de Test de Version bêta signé par le Détenteur lors de la phase d'enregistrement préalable à la fourniture de la Version bêta) de la Version bêta du Progiciel, le Détenteur reconnaît et accepte que les termes du présent Contrat complètent ceux du Contrat de Test de Version bêta et ne les remplacent pas. Si le Progiciel est une édition « sans frais » du logiciel UDP pour stations de travail, il s'exécutera en mode à capacité limitée, avec des services d'assistance et de maintenance par courriel uniquement pour toutes les langues actuellement prises en charge par UDP v5. Il est possible de passer à une version payante du Progiciel afin d'activer des fonctions qui sont indisponibles dans l'édition « sans frais ». Les options et langues prises en charge pour l'édition « sans frais » du logiciel UDP pour stations de travail pourront être modifiées sans préavis. 3. Si la licence du Progiciel est accordée à des fins d'essai ou d'évaluation, le Détenteur accepte de n'utiliser le Progiciel qu'à ces fins, conformément aux restrictions d'utilisation définies à l'article 1, pour une période d'essai de trente (30) jours, sauf période d'essai autrement convenue entre les Parties (ci-après la « Période d'essai »). A l'expiration de la Période d'essai, le droit d'utilisation concédé au Détenteur expirera automatiquement, le Détenteur devra alors désinstaller le Progiciel et retourner à Arcserve tous les exemplaires originaux et toutes les copies, y compris partielles, du Progiciel ou certifier à Arcserve que ces exemplaires ou copies ont été supprimés et détruits de tous ses serveurs ou autres machines et disques durs. Si le Détenteur souhaite utiliser le Progiciel au-delà de la Période d'essai, le Détenteur pourra informer Arcserve de son intention de souscrire à une licence d'utilisation au tarif en vigueur. PENDANT LA PERIODE D'ESSAI, LE PROGICIEL EST FOURNI « TEL QUEL » AU DETENTEUR, SANS GARANTIE D'AUCUNE SORTE, NOTAMMENT AUCUNE GARANTIE IMPLICITE OU AUCUN ENGAGEMENT CONCERNANT LA QUALITE MARCHANDE ET L'ADEQUATION DU PROGICIEL A UN USAGE PARTICULIER, DE MEME QU'AUCUNE GARANTIE EXPRESSE STIPULEE AILLEURS DANS LE PRESENT CONTRAT. 4. Dans le cas où le Progiciel contient un Kit de développement logiciel (ci-après « KDL »), les termes et conditions du présent article seront applicables à ce seul KDL. Le KDL peut comporter des éléments logiciels, des API (Interfaces de programmation) ainsi que de la documentation associée. Le KDL est fourni au Détenteur uniquement pour ses besoins propres de développement de logiciel permettant l'intégration de logiciel ou matériel de tiers dans le Progiciel, ou pour ses besoins propres de développement de logiciel fonctionnant avec le Progiciel, tel qu'un agent. L'utilisation du KDL doit avoir pour seul et unique objectif d'améliorer l'utilisation interne du Progiciel par le Détenteur. Aucun droit de distribution n'est accordé au Détenteur relativement au Progiciel. Outre les limitations du droit d'utilisation décrites à l'article 8 ci-dessous, le Détenteur n'est pas autorisé à reproduire, divulguer, commercialiser et distribuer le KDL à des tiers sur Internet ou sa documentation associée ou toute application comportant une version exécutable du KDL. Le détenteur n'est en outre pas autorisé à utiliser le KDL au-delà du Périmètre d'utilisation. En cas de contradiction entre les termes du présent article et ceux de tout autre article du présent Contrat, les termes du présent article prévaudront uniquement dans le cadre du droit d'utilisation du KDL. DANS LES LIMITES PERMISES PAR LA LOI ET NONOBSTANT TOUTE STIPULATION CONTRAIRE AUX PRESENTES, LE KDL EST FOURNI « TEL QUEL », SANS ENGAGEMENT NI GARANTIE D'AUCUNE SORTE. 5. Le paiement des redevances mentionnées dans le Bon de commande ou convenues entre le Détenteur et un revendeur agréé par Arcserve, confère au Détenteur un droit d'utilisation du Progiciel pour la durée mentionnée dans le Bon de commande (la « Durée ») et, le cas échéant, le droit de bénéficier des services de support et de suivi pendant la Durée prévue dans le Bon de commande. Les redevances sont payables d'avance. Il incombe au Détenteur d'installer chaque nouvelle version du Progiciel qui lui est livrée. A l'expiration de la Durée, le droit d'utilisation du Progiciel et/ou les services d'assistance et de suivi, accordés par les présentes pourront être renouvelés, sous réserve du paiement par le Détenteur des redevances décrites dans le Bon de commande. Nonobstant ce qui précède, si une licence de logiciel a été accordée en vertu du présent Contrat sans Bon de commande, le Détenteur pourra utiliser le Progiciel pour une durée indéterminée, mais cette licence ne comprendra pas l'assistance et le suivi. Nonobstant ce qui précède, concernant tout Progiciel reposant sur des mises à jour régulières de contenu, tels que des fichiers de signature et des mises à jour de sécurité, le Détenteur bénéficiera desdites mises à jour pendant une période d'un (1) an à compter de la date d'entrée en vigueur du présent Contrat. 6. Si la maintenance est assurée par Arcserve, elle doit être renouvelée chaque année comme indiqué dans le Bon de Commande. Les montants des redevances sont exprimés hors taxes. Le Détenteur est tenu de s'acquitter de tous les droits, droits de douane et taxes imposés par tout gouvernement ou administration, y compris, mais sans limitation, les taxes fédérales, étatiques et régionales, celles liées à la vente, à l'utilisation et à la valeur ajoutée, ainsi que celles liées aux droits de propriété (autres que les taxes de franchise et sur le revenu dont Arcserve est redevable), sur présentation de factures par Arcserve. Toute demande d'exonération de telles taxes devra être fondée sur un élément de preuve approprié fourni à Arcserve. Pour toute facture non réglée par le Détenteur, la somme due portera intérêts, de plein droit à compter de l'expiration du délai de paiement, au taux de 1,5 % par mois ou au taux d'intérêt légal le plus élevé, le moins élevé de ces taux étant applicable. 7. Le Détenteur est autorisé à utiliser le Progiciel conformément aux présentes pour le traitement exclusif de ses données propres et de celles de ses filiales dont il détient la majorité du capital social. Ce droit d'utilisation est limité au site, matériel informatique et au Périmètre d'utilisation décrits dans le Bon de commande ou sur la pochette du CD, selon le cas. Si le Détenteur souhaite utiliser le Progiciel au-delà de ce périmètre, il devra le notifier à Arcserve et sera facturé de la redevance correspondant à cette extension. 8. Le Progiciel, y compris tout code-objet ou tout code-source pouvant être fournis au Détenteur, ainsi que toute documentation, apparence, structure et organisation demeurent la propriété d'Arcserve (ou éventuellement des personnes lui ayant concédé des droits sur le Progiciel) et peuvent être protégés par un droit d'auteur, un brevet, une marque déposée, un secret de fabrication ou tout autre droit. Arcserve (ou éventuellement des personnes lui ayant concédé des droits sur le Progiciel) demeure seul titulaire de tous les droits de propriété intellectuelle relatifs au Progiciel, à toute copie, même partielle, dudit Progiciel, à toute modification, traduction, compilation, inclusion d'une partie du KDL ou programme dérivé du KDL. Les droits d'utilisation du Progiciel ne sauraient en aucun cas être substitués à ceux d'un autre Progiciel d'Arcserve. Ce Progiciel est fourni sous licence comme produit unique dont les composants ne peuvent être utilisés séparément. Le Détenteur et ses employés s'engagent à garder strictement confidentiels le Progiciel et les termes du présent Contrat et mettra tout en œuvre pour protéger le Progiciel contre toute divulgation ou utilisation non autorisée. Le Détenteur ne pourra en aucun cas (i) communiquer, décompiler, désassembler le Progiciel ni utiliser un procédé d'ingénierie inverse, de quelque manière que ce soit, sauf dans les cas où la loi applicable interdit de telles restrictions ; (ii) créer une œuvre dérivée sur la base du Progiciel ; (iii) utiliser le Progiciel à des fins de fourniture de prestations d'infogérance ou en liaison avec un service bureau ou une activité de ce type en vertu de laquelle le Détenteur, sans en obtenir l'autorisation par l'intermédiaire d'une licence d'Arcserve, utiliserait ou ferait fonctionner le Progiciel au bénéfice d'un tiers qui ne serait pas titulaire d'un droit d'utilisation du Progiciel ou (iv) permettre l'utilisation du Progiciel par un tiers sans l'accord préalable et écrit d'Arcserve. Le Détenteur ne pourra pas communiquer de résultat de « benchmark » à un tiers sans l'accord préalable et écrit d'Arcserve. Le Détenteur ne pourra transférer, céder, louer, prêter, utiliser, copier ou modifier le Progiciel, même partiellement, ou permettre à des tiers d'effectuer les opérations précitées sur le Progiciel sans l'accord préalable et écrit d'Arcserve, sauf dans les cas où la loi applicable interdit de telles restrictions. Le Détenteur ne pourra en aucun cas effacer les mentions relatives à la propriété intellectuelle d'Arcserve ou des concédants de licence. Le Détenteur pourra cependant effectuer une copie du Progiciel à des fins de sauvegarde en cas de sinistre, à condition que l'utilisation en production du Progiciel soit limitée au Périmètre d'utilisation mentionné sur le Bon de commande ou sur la pochette du CD, et à condition que l'utilisation du Progiciel ayant pour but d'effectuer des tests de procédure de reprise ne dépasse pas une semaine tous les trois mois. Le Progiciel ne pourra être utilisé qu'à l'intérieur des frontières du pays où il a été commandé, sauf stipulation contraire du Bon de commande ou accord préalable écrit d'Arcserve. Dans le cas où le présent Contrat prendrait fin, pour quelque raison que ce soit, le Détenteur devra certifier à Arcserve, par écrit, que tous les exemplaires originaux et toutes copies, y compris partielles, du Progiciel ont été effacés de tous ses serveurs ou autres machines et disques durs et retournés à Arcserve ou détruits et ne sont plus utilisés. Le Détenteur de licence est tenu de respecter l'ensemble des réglementations applicables en matière d'importation et d'exportation, notamment celles adoptées par l'Office of Export Administration, le Bureau de l'administration des exportations du Ministère américain du commerce, et il s'engage à indemniser, défendre et ne pas poursuivre Arcserve en justice en cas de dommages, frais, pénalités, amandes, coûts ou réclamations liés à une violation par le Détenteur de licence de toute représentation ou garantie susmentionnée. Le Progiciel et toute documentation qui l'accompagne ont été entièrement développés par des fonds propres. Ils sont livrés et fournis sous licence comme « article commercial » et « logiciel d'ordinateur » tels que définis dans les Federal Acquisition Regulations (FAR 2.101). Dans l'hypothèse où le Détenteur est une agence fédérale du gouvernement des Etats-Unis, les stipulations de la licence Arcserve GSA FSS doivent régir l'utilisation du/des Programme(s) Informatique(s) à la place des stipulations de la licence délivrée avec le(s) Progiciel(s). A ce titre, les termes « Progiciel » et « Programme informatique » ont la même signification. Le(s) Programme(s) Informatique(s) a/ont été développé(s) avec des fonds privés à des fins commerciales et est/sont publié(s) et protégé(s) par copyright. Les achats de tiers pour le compte d'une agence fédérale du gouvernement doivent seulement transférer le(s) Programme(s) Informatique(s) au gouvernement avec les « droits limités » définis dans les textes FAR 52.227-19(c)(2) et DFAR 252.227-7015, conformément au contrat Arcserve GSA FSS Tous les logiciels sont livrés franco de port lieu d'expédition ou livraison électronique. Toute recette/réception est exclue car considérée comme effectuée dès la première livraison physique ou dès la première fourniture de clés/codes d'accès dans le cadre d'une livraison électronique. Arcserve est le fabricant du Progiciel. Le présent Contrat est régi et interprété conformément aux lois de l'Etat de New York, à l'exception de ses dispositions relatives aux conflits de loi. 9. Arcserve garantit au Détenteur qu'il peut conclure le présent Contrat et le garantit contre toute action, au vu de laquelle Arcserve pourra également transiger, fondée sur le fait qu'Arcserve ne pouvait conclure le présent Contrat ou que le Progiciel constituerait, en tout ou partie, une contrefaçon d'une œuvre protégée par un droit de propriété intellectuelle ou d'un brevet. Arcserve garantit la conformité du Progiciel aux spécifications techniques définies dans sa documentation (ci-après les « Spécifications techniques »). A ce titre, la société Arcserve mettra en œuvre avec tout le soin raisonnable en l'état de la technique, les solutions qu'elle estimera appropriées pour remédier à un dysfonctionnement quelconque. La garantie de conformité qui précède est accordée sous réserve que le Détenteur se soit acquitté du paiement complet de la redevance de licence due au titre de la période concernée et de la redevance d'assistance et de suivi annuelle ou, pour les Progiciels licenciés sans Bon de commande, pour une période de quatre-vingt-dix (90) jours à compter de la concession du droit d'utilisation du Progiciel. Si, après avoir reçu notification par le Détenteur d'une violation de l'une des garanties accordées en vertu du présent article dans un délai raisonnable, Arcserve ne pouvait faire en sorte que le Progiciel (a) ne viole pas les droits de propriété intellectuelle d'un tiers, ou (b) soit en conformité avec sa documentation, chaque Partie pourra résilier le présent Contrat en le notifiant par écrit à l'autre Partie et Arcserve, ou le revendeur autorisé, remboursera au Détenteur les redevances correspondantes, relatives à ce Progiciel non conforme, seulement lorsque le Détenteur aura retourné le Progiciel à Arcserve ou au revendeur autorisé duquel il a obtenu le Progiciel, avec la preuve d'achat, pendant la période de garantie précisée ci-dessus. Les garanties exposées dans la section ci-dessous ne s'appliquent pas aux versions bêta du Progiciel, au Progiciel accordé sous licence à des fins d'essai ou d'évaluation ou aux kits de développement logiciels. 10. A L'EXCEPTION DES DISPOSITIONS QUI PRECEDENT, ET DANS LES LIMITES PERMISES PAR LA LOI APPLICABLE : (I) AUCUNE GARANTIE N'EST ACCORDEE PAR ARCSERVE, DE QUELQUE MANIERE QUE CE SOIT, EXPRESSEMENT OU TACITEMENT, ET NOTAMMENT CONCERNANT LES VICES CACHES ET L'ADEQUATION DU PROGICIEL AUX BESOINS DU DETENTEUR ; (II) EN AUCUN CAS ARCSERVE NE POURRA ETRE TENU POUR RESPONSABLE DE TOUT DOMMAGE, Y COMPRIS PERTE DE TEMPS, ARGENT , DIRECT OU INDIRECT, SUBI PAR LE DETENTEUR OU PAR TOUT TIERS, ET RESULTANT DE L'UTILISATION OU DE LA MODIFICATION DU PROGICIEL, MÊME DANS L’HYPOTHESE OU ARCSERVE AURAIT ETE INFORME DE LA SURVENANCE POSSIBLE D’UN TEL DOMMAGE. DANS L'HYPOTHESE OU LA LIMITATION DE RESPONSABILITE QUI PRECEDE NE SERAIT PAS VALABLE EN VERTU DU DROIT APPLICABLE, ALORS, LA RESPONSABILITE DE ARCSERVE SERA LIMITEE AU MONTANT DE LA REDEVANCE DE LICENCE EFFECTIVEMENT PAYEE PAR LE DETENTEUR POUR LE PROGICIEL. AUCUN TIERS, Y COMPRIS DES AGENTS, DISTRIBUTEURS OU REVENDEURS ARCSERVE AGREES, N'EST AUTORISE A MODIFIER AUCUNE DES GARANTIES SUSDITES OU A DONNER UNE GARANTIE SUPPLEMENTAIRE AU NOM D'ARCSERVE. ARCSERVE NE GARANTIT PAS QUE LE PROGICIEL SERA CONFORME AUX ATTENTES DU DETENTEUR OU QUE L'UTILISATION DU PROGICIEL SERA EXEMPTE D'INTERRUPTIONS OU D'ERREURS. 11. Le Détenteur ne pourra céder le présent Contrat que dans le strict respect des politiques d'Arcserve relatives à la cession des contrats de licence en vigueur au moment de cette cession, conditions qui incluent l'obligation que le Progiciel ne soit pas utilisé relativement à des activités autres que celles du Détenteur et de ses filiales majoritairement contrôlées. Arcserve pourra céder le présent Contrat à tout tiers qui s'engagerait à reprendre les droits et obligations d'Arcserve relatifs au Progiciel et qui s'engagerait à respecter les obligations d'Arcserve contractées au titre des présentes. Arcserve pourra céder toutes créances afférentes au présent Contrat ainsi que donner en nantissement à un tiers tout ou partie de ces créances. 12. En cas de manquement du Détenteur à l'une de ses obligations au titre du présent Contrat ou si le Détenteur se retrouve en cessation des paiements ou procédure collective, Arcserve pourra suspendre l'exécution de ses propres obligations et/ou résilier, de plein droit, le présent Contrat et, outre tous les autres droits d'Arcserve, toutes les redevances non encore échues mais dues au titre du Contrat seront alors immédiatement exigibles de plein droit. 13. Dans l'hypothèse où, pour un motif quelconque, les prestations d'assistance et de suivi étaient suspendues du fait du Détenteur, toute reprise de la maintenance entraînera le paiement par le Détenteur d'une somme correspondant à cent cinquante pour cent (150 %) de la redevance d'assistance et de suivi alors applicable multipliée par le nombre d'années pendant lesquelles les prestations ont été suspendues. 14. Dans le cas où une décision de justice viendrait à déclarer l'une des dispositions du présent Contrat comme illégale, non valide ou non applicable, les autres stipulations conserveraient plein effet et validité. Aucune renonciation à toute revendication d'une clause des présentes ne serait être considérée comme une renonciation à toute autre clause, et aucune renonciation ne serait avoir de validité sans avoir été formulée par écrit et signée par le représentant légal de la partie qui renonce à ladite clause. 15. Si le Détenteur acquiert une licence pour un Progiciel en dehors des Etats-Unis, les articles suivants s'appliquent au Progiciel : Sans préjudice des termes de la dernière phrase de l'article 8, les lois du pays dans lequel le Détenteur acquiert une licence pour le Progiciel régissent le présent Contrat sauf disposition contraire ci-dessous. En Albanie, Arménie, Biélorussie, Bosnie-Herzégovine, Bulgarie, Croatie, Géorgie, Hongrie, Kazakhstan, Kirghizie, Moldavie, République fédérale de Yougoslavie, République slovaque, ex-République yougoslave de Macédoine, Roumanie, Russie, Slovénie et Ukraine, les lois autrichiennes régissent le présent Contrat. Argentine La dernière phrase de l'article 8 est supprimée et remplacée par : Le présent Contrat est régi et interprété conformément aux lois de l'Argentine. Tout différend le concernant sera porté devant les tribunaux de Buenos Aires. Australie Les stipulations qui suivent sont ajoutées à la fin de chacun des articles 2, 3 et 10 : Bien qu'Arcserve n'accorde aucune garantie, le Détenteur peut avoir certains droits conformément au Trade Practises Act de 1974 et à des législations étatiques ou territoriales qui ne peuvent être exclues mais peuvent être limitées. Dans les limites permises par la loi, Arcserve exclut toute condition qui ne serait pas expressément stipulée dans le présent Contrat et limite tous les termes imposés par le Trade Practises Act de 1974 et de toute législation étatique ou territoriale dans les limites permises par la législation applicable. La dernière phrase de l'article 8 est supprimée et remplacée par : Les lois de l'état ou du territoire dans lequel l'accord est exécuté régissent le présent Contrat. Les stipulations qui suivent sont ajoutées à l'article 10 : Dans l'hypothèse où Arcserve se trouverait en violation d'une disposition ou d'une garantie résultant du Trade Practises Act de 1974 ou d'une législation étatique ou territoriale, la responsabilité d'Arcserve serait limitée pour le cas des biens, à la réparation ou au remplacement des biens, ou au paiement de la réparation ou du remplacement des biens, et dans le cas de services, à fournir les services une nouvelle fois ou à payer pour une nouvelle fourniture des services, au choix d'Arcserve. Lorsque cette disposition ou garantie est relative à un droit de vendre, possession paisible ou titre valable, concernant les biens ou si les biens fournis par Arcserve sont des biens acquis de manière ordinaire pour un usage personnel, domestique ou ménager ou de consommation courante, alors aucune des limitations du présent article ne s'appliquera. République tchèque La première phrase de l'article 1 est supprimée et remplacée par : Arcserve accorde au Détenteur une licence non exclusive d'utilisation du Progiciel, pour un seul utilisateur, ou pour la quantité définie comme le périmètre d'utilisation autorisé (« Périmètre d'utilisation ») tel que stipulé dans le Bon de commande (défini ci-dessous) faisant référence au Contrat ou à toute pochette de CD incluse dans la boîte du Progiciel. Arcserve ou le revendeur autorisé s'engage à rembourser la totalité des frais postaux encourus par la restitution du Progiciel, si vous en faites la demande au moment de la restitution du Progiciel, et sous réserve de présentation de la preuve de tels frais. L'avant-dernière phrase de l'article 2 est supprimée et remplacée par : Les versions bêta des progiciels sont fournies telles quelles sans aucun engagement ni garantie d'aucune sorte expresse ou tacite, notamment, pour ce qui est des engagements ou garanties relatifs aux vices cachés, à la satisfaction ou à l'adéquation aux besoins, ainsi que toute garantie expresse, prévue ailleurs dans le présent contrat. Allemagne L'article 6 du Contrat est supprimé. La douzième phrase de l'article 8 est supprimée. La seizième phrase de l'article 8 est supprimée et remplacée par : Le Détenteur s'engage à respecter toutes les réglementations applicables en matière d'importation et d'exportation, y compris celles adoptées par le Department of Commerce aux Etats-Unis, ainsi que toutes réglementations relatives à l'exportation des instances européennes ou allemandes. Le Détenteur reconnaît et accepte que les restrictions américaines, européennes et allemandes changent régulièrement et que suivant le Progiciel, le Détenteur doit se référer à la réglementation américaine, européenne ou allemande à jour. Le texte suivant a été ajouté à l'article 9 : Arcserve ne sera pas responsable de tout manquement relatif à l'utilisation d'un Progiciel autre que non modifié sauf si la modification a été faite avec un accord préalable et écrit d'Arcserve. L'article 10 est supprimé et remplacé par : Dans l'hypothèse (i) d'une inexécution volontaire, aucune limitation de responsabilité ne s'applique ; (ii) d'un dommage personnel ou dommage à la propriété, la responsabilité d'Arcserve vis-à-vis du Détenteur est limitée à la somme maximum qu'Arcserve pourra récupérer en vertu de ses polices d'assurance ; (iii) d'une négligence lourde de laquelle résulterait des dommages autres qu'un dommage personnel ou un dommage à la propriété, la responsabilité d'Arcserve vis-à-vis du Détenteur sera limitée à un montant égal à la redevance de licence pour le Progiciel ; (iv) d'une négligence de laquelle résulterait un dommage autre qu'un dommage personnel ou un dommage à la propriété, la responsabilité d'Arcserve vis-à-vis du Détenteur sera limitée à un montant égal à cinquante (50) % de la redevance de licence pour le Progiciel. Sans préjudice de ce qui précède, la responsabilité totale conformément aux stipulations (iii) et (iv) ci-dessus ne pourra être supérieure à un montant égal au prix d'achat du Progiciel. Sauf dans le cas d'une inexécution volontaire ou d'une négligence lourde, aucune des parties ne sera responsable vis-à-vis de l'autre des dommages indirects, incidents ou spéciaux, notamment un préjudice au service fourni par le Détenteur, perte de chiffre d'affaires, perte de profit, ou perte de données consécutive ou en relation avec l'implémentation ou l'utilisation du Progiciel. Aucune action, quelle qu'en soit la forme, consécutive au présent Contrat ne pourra être intentée par l'une des parties plus de trois (3) ans après le fait générateur de cette action, ou, en cas de non-paiement, plus de trois (3) ans à compter de la date de la facture correspondante. Aucune des deux parties ne sera responsable d'un retard dans l'exécution de ses obligations ou le défaut d'exécution en vertu du présent Contrat si le retard ou le défaut d'exécution est consécutif à un événement ou une circonstance hors de son contrôle raisonnable. Un tel retard ou défaut d'exécution ne constituera pas un manquement au présent Contrat et le calendrier d'exécution sera retardé de la durée correspondant au retard causé par la force majeure. Grèce La dernière phrase de l'article 8 est supprimée et remplacée par : Tout différend sera in fine jugé par les tribunaux d'Athènes. Hong-Kong La dernière phrase de l'article 8 est supprimée et remplacée par : Le présent Contrat est régi et interprété conformément aux lois de Hong Kong. Les tribunaux de Hong Kong ont compétence exclusive pour tout différend relatif au présent Contrat. Le texte suivant est ajouté à l'article 10 : La limitation de responsabilité et la responsabilité maximale qui précèdent n'affectent pas ou ne portent pas atteinte aux droits légalement accordés au Détenteur par l'ordonnance sur la vente de biens, l'ordonnance sur la fourniture de services (stipulations implicites) ou l'ordonnance relative aux articles de contrôle d'exemption, et ne pourront pas limiter ou exonérer la responsabilité en cas de décès ou de dommage personnel résultant de la seule négligence d'Arcserve. Indonésie La dernière phrase de l'article 8 est supprimée et remplacée par : Le présent Contrat et ses stipulations sont régis et interprétés conformément aux lois de l'Indonésie. Les tribunaux d'Indonésie, situés à Jakarta, sont seuls compétents pour connaître de tout différend relatif au présent Contrat. La dernière phrase de l'article 9 est modifiée par ajout des stipulations suivantes : Le Détenteur garantit que le Détenteur (i) a tout pouvoir et autorité ; et (ii) a la capacité légale pour signer et exécuter le présent Contrat. Arcserve et le Détenteur renoncent à toute stipulation, procédure ou action en vertu de quelque loi applicable que ce soit, dans la mesure ou une injonction d'un tribunal est nécessaire pour résilier le présent Contrat. Libye, Egypte, Liban, Jordanie, Irak, Arabie Saoudite, Koweït, Qatar, Emirats arabes unis, Oman, Yémen et Pakistan La dernière phrase de l'article 8 est supprimée et remplacée par : Le présent Contrat est régi et interprété conformément aux lois de Dubaï et aux lois fédérales des Emirats arabes unis. Les tribunaux compétents seront ceux de Dubaï. Les procès et les sentences seront rendus en langue anglaise. Les jugements relatifs aux sentences rendues pourront être exécutés par les tribunaux compétents ou appliqués par tout tribunal juridiquement reconnu compétent, selon le cas. La sentence rendue par le tribunal compétent constituera la seule sentence valable pour les parties en cas de réclamation ou de demande de dédommagement présentées aux tribunaux. Malaisie La dernière phrase de l'article 8 est supprimée et remplacée par : Le présent Contrat est régi et interprété conformément aux lois de la Malaisie. Les tribunaux de la Malaisie sont seuls compétents pour connaître de tout différend relatif au présent Contrat. En conséquence, le Détenteur s'engage à indemniser Arcserve en totalité dans l'hypothèse d'un tel préjudice.
